Company particulars are the current record of a Hong Kong company as held by the Companies Registry and shown by a Company Particulars Search on its e-Services Portal. The report gives the company's name in English and Chinese, its business registration number (BRN), its type, the date of incorporation, its status, any winding-up mode and date of dissolution, whether a register of charges exists, and the name history. It then lists the registered office with its effective date, the issued and paid-up share capital, the shareholders with the class and number of shares held, the directors and reserve directors, the company secretary, and any receiver, manager or liquidator.
The shareholder information is taken from the incorporation form, the latest annual return and returns of allotment, so it shows the position at the last filing rather than today. Since 27 December 2023 the Registry uses the business registration number as the unique business identifier, and the search is run by that number. Full identification numbers and residential addresses of directors are no longer shown to the public.
Why it matters
For KYB on a Hong Kong company, the particulars report is the primary evidence of existence, status, directors and registered shareholders. The Registry's free Document Index Search lists every document the company has filed, which tells an analyst what else can be ordered: past annual returns, changes of director, charges and the articles. The report costs HK$22.
