India onboarding: documents, risks and rules

MCA master data identifies the company. Annual returns, shareholder attachments and client-held documents explain ownership and the proposed relationship.

MCA company master data is a useful way to identify an Indian company, but it does not supply the shareholders needed for a complete ownership assessment. That information usually requires annual-return filings and their attachments, followed by client-held evidence where ownership has changed. A useful onboarding file connects those records to the signatory and the business expected to pass through the relationship.

Which rules apply

The Companies Act 2013 governs companies and their corporate filings. MCA's annual-return framework includes MGT-7 and, for eligible company categories, the abridged MGT-7A. Different forms do not necessarily represent missing disclosure: the entity's legal form and filing obligations determine which record is relevant.

The onboarding firm's own AML requirements govern how it uses the evidence. A Hong Kong regulated financial institution applies AMLO and its regulator's guideline to identify and verify the customer and beneficial owners, understand the relationship and conduct ongoing due diligence. Indian company filings support that assessment without replacing it. An LLP or a foreign-company registration has a different identifier and record set, which needs to be recognised before requesting company-specific filings.

The complete Corporate Identification Number should connect each company record to the contract. A tax number or a director's DIN serves a different purpose. Where a brand covers several companies or an LLP, a familiar name does not establish which legal person will receive funds and carry the obligations.

The risks behind the paperwork

An annual return can arrive without the evidence that matters. A downloaded form may refer to a shareholder attachment that is absent from the supplied set. The ownership conclusion remains open until that attachment or alternative supporting evidence is obtained. Even a complete return records an earlier reporting position, so later changes need current member records and an explanation of the relevant filings.

Status and filing dates need to be read together. Active, dormant, amalgamated and struck-off statuses have different implications. An active entry does not establish current trading or permission for a regulated activity. The dates of the last AGM and balance sheet help identify whether the file is recent enough for the assessment; unexplained old filings call for a specific follow-up rather than a blanket clean finding.

A direct shareholder or director may not be the ultimate controller. Corporate holdings need another layer to be identified, while voting or other control rights may require company documents. A DIN can help distinguish similarly named directors, but a directorship does not automatically establish beneficial ownership. A signed chart should reconcile with the return and supporting records before it carries the ownership conclusion.

Capital and security figures do not show available cash. Authorised and paid-up capital answer different corporate questions. Accounts and funding evidence address financial capacity more directly, with their reporting period and audit opinion retained. Charge filings identify recorded security interests; a historical secured amount does not show the current outstanding balance or every debt.

How the Fill Easy email bot helps

An approved organisational sender can request a defined filing set from agent@fill-easy.com:

Please retrieve master data, the latest applicable MGT-7 or MGT-7A with shareholder attachments, and available financial filings for [company], CIN [number]. Reference: [case]. Include a summary and confirm document years, availability, price and turnaround.

The agent returns order-item statuses, clarifies ambiguous matches or missing records, and delivers retrieved PDFs in the same email thread. Results carry their source, retrieval time and request ID; an optional summary references the underlying documents. Several clients can also be listed in one email or spreadsheet.

This helps the team collect the correct filings before comparing them with current client-held ownership and authority evidence. The India jurisdiction page explains the MCA record types, while the ownership tracing guide develops the separate question of indirect ownership.
