Italy corporate onboarding: documents, risks and rules
An Italian visura can bring identity, management and representation into one report, but the report's usefulness depends on the entity and scope selected. A capital company, partnership and individual enterprise do not produce identical ownership or financial evidence.

An Italian visura can bring identity, management and representation into one report, but the report's usefulness depends on the entity and scope selected. A capital company, partnership and individual enterprise do not produce identical ownership or financial evidence. Onboarding should use the registered particulars to establish the legal person, then resolve the authority and ownership questions that remain for that particular form.
Which rules apply
Italy's Legislative Decree 231/2007, as amended, establishes AML duties for obliged persons within scope. Customer due diligence addresses the customer, beneficial owners, the purpose of the relationship and continuing controls. Registro Imprese records support corporate identification and representation checks. The legal and operational position of dedicated beneficial ownership information requires a separate availability and access check; ordinary register access should not be treated as a guarantee of that data.
The duties follow the onboarding firm's location, regulatory status and service. An overseas firm applies its own relevant regime to this customer. Ordinary commercial counterparties can also use these records for risk assessment without having the same duties as regulated firms.
For EU members, Regulation (EU) 2024/1624 generally applies from 10 July 2027. It should not be treated as replacing the current national AML framework for a 2026 onboarding decision.
Documents commonly requested
The starting file should reflect the legal form and the proposed relationship. These records answer complementary questions:
| Evidence | What the reviewer looks for |
|---|---|
| Current visura from Registro Imprese | Legal name, form, codice fiscale, office, status and representation |
| Historical visura and relevant corporate acts | Changes explaining older names, officers or governance |
| Current ownership evidence and group chart | Direct holders, voting rights and corporate ownership layers |
| Articles and mandate or delegated authority | Powers, signing conditions and the proposed instruction |
| Identity and permitted beneficial ownership evidence | Relevant natural persons and the basis for verification |
| Filed accounts and business records | Reporting period, financial explanation and expected payments |
Registry records establish facts within their stated scope. Current ownership records, identity evidence and mandates may need to come from the client or another permitted source. Keeping those origins visible helps explain differences and the extent of independent corroboration.
The risks behind the paperwork
Tax and chamber references have different roles. The codice fiscale helps identify the registered entity, while VAT information serves a tax purpose. A REA reference should remain connected to its Chamber of Commerce context. An invoice showing a brand and VAT number may therefore need the corporate record to establish who contracts and receives the payment. Keeping the labelled identifiers together prevents a numerical match from substituting for the legal-person check.
Representation needs the conditions attached to it. Management and representation entries may include powers or limits relevant to the instruction. A person can be a director without the record supporting every proposed act by them alone. Where an employee acts under delegated authority, the instrument should connect to an authorised grantor and cover the scope and timing of the transaction. An owner's position is a separate matter from their power to sign.
Ownership evidence varies by legal form. Filed shareholder information can provide a useful direct layer where available, but it should be read with its date and disclosure scope. A corporate holder needs its own evidence, and later transfers may require current company-held records. Share percentages also need to be understood alongside voting rights and other control arrangements. Where a dedicated beneficial owner source is unavailable, the resulting verification gap should remain visible in the assessment.
Financial statements should be matched to the entity and reporting period, with the actual assurance included in the filing identified. A newly retrieved account can describe an older year. Where current trading or funding differs from that period, contracts, invoices and appropriate financial evidence explain the change. Sector authorisation should also be checked separately from registered business activity.
How the Fill Easy email bot helps
An approved organisational sender can request available registry documents from agent@fill-easy.com, using prose, a table or an attached spreadsheet. Include the company identifier and required documents:
Please retrieve a current visura, relevant historical entries and corporate acts, available shareholder information and accounts for [company name], codice fiscale [identifier], REA [Chamber and number]. Reference: [case reference]. Please include a summary report and confirm availability, price and expected turnaround.
The agent replies with item statuses, asks for clarification where needed, and returns retrieved PDFs in the same thread. Results carry their source, retrieval time and request ID. An optional summary references the documents. Availability, price and expected turnaround are confirmed at acceptance.
This helps the team collect and reconcile the registry evidence. Client-held records and individual identity evidence still follow the appropriate process, while the reviewer resolves remaining gaps and makes the onboarding decision. See the Mailbox workflow for the email process.
