South Korea onboarding: documents, risks and rules

A Korean court certificate establishes registered identity and officers. Ownership often requires DART disclosures or a shareholder register from the client.

South Korea's commercial register identifies a corporation and its registered officers, but does not list its shareholders. For onboarding, that leaves two linked evidence tasks: establish the legal entity and its representation, then obtain ownership evidence from the applicable disclosures or the client. A well-known group name cannot answer either question for a particular subsidiary.

Which rules apply

The Commercial Act provides the corporate framework and the matters registered for a company. Certificates of registered matters come from the Supreme Court's Internet Registry Office, or IROS. DART disclosures, maintained by the Financial Supervisory Service, have a different reporting scope; their availability depends on the company's disclosure obligations.

The onboarding firm's AML regime determines the due diligence it must carry out. For a Hong Kong regulated financial institution, AMLO and the relevant regulator's guideline require customer and beneficial-owner identification and verification, an understanding of the relationship and ongoing due diligence. Korean incorporation supplies local evidence for that assessment. It does not make an officer a beneficial owner or give every private company a public ownership disclosure.

The 13-digit corporate registration number and 10-digit business registration number serve different purposes. They should be recorded with their labels and matched across the court record, tax evidence and agreement. An English brand or group name can help identify candidates, but the Korean legal name and corporation number connect the evidence to the customer.

The risks behind the paperwork

A court record leaves ownership unanswered. A director list and share-capital figure cannot substitute for a shareholder register. Where DART provides a relevant annual report, its major-holder disclosures need their reporting date and scope. A private company outside the relevant reporting coverage may require company-supplied ownership records; the absence of a DART filing is not proof that it has no owners.

Group disclosures can describe the wrong entity. A parent's consolidated accounts or a large business group's published structure can provide context while leaving the subsidiary's direct holders and finances unclear. The reviewer needs to connect each disclosure to the correct corporation and then reconcile the chain to natural persons. Group membership alone does not explain all current control arrangements.

Representation and seal evidence have different access routes. The representative director's appointment supports the authority review, but a delegated signer may need a power or board resolution. A corporate seal certificate is a company-controlled document, rather than a routine public search output. If the receiving institution requires it, client cooperation needs to be part of the evidence plan.

Tax registration and financial disclosure have limited meanings. A tax-status result does not identify beneficial owners or establish financial health. An audit report addresses a period and reporting entity, with its opinion and qualifications considered. Relevant licences and operational evidence explain whether the proposed activity is permitted and whether the expected payments fit the business.

How the Fill Easy email bot helps

An approved organisational sender can request records from agent@fill-easy.com:

Please obtain the IROS certificate, including relevant representative and cancelled entries, for [Korean name], corporate registration number [number]. Also retrieve available DART reports for [year]. Reference: [case]. Confirm availability, translation, price and turnaround.

The agent lists order items and their status, clarifies ambiguous entity matches or unavailable documents, and returns retrieved PDFs in the same thread. Results carry their source, retrieval time and request ID. An optional English summary references the underlying records, with Korean originals retained as evidence.

The reviewer can then reconcile court and disclosure evidence with the client's ownership and authority documents. Individual verification and the onboarding decision remain part of the firm's own process. The South Korea jurisdiction page explains the court and disclosure sources.
