Spain corporate onboarding: documents, risks and rules

A Spanish commercial-register record can establish management and registered powers while leaving most shareholders outside the public file. For onboarding, this means the authority check can be strong even when ownership needs client-supplied evidence.

A Spanish commercial-register record can establish management and registered powers while leaving most shareholders outside the public file. For onboarding, this means the authority check can be strong even when ownership needs client-supplied evidence. The team should connect the NIF and registry identity to the signatory, then build a dated ownership explanation suited to the company's legal form.

Which rules apply

Spain's Law 10/2010 on the prevention of money laundering and terrorist financing governs obliged entities within scope. It requires customer and beneficial owner identification and an understanding and monitoring of the relationship. Registro Mercantil records support corporate checks; the beneficial ownership systems, including RCTIR, follow separate eligibility and access rules. A public commercial information request does not itself authorise access to restricted beneficial owner information.

The duties follow the onboarding firm's location, regulatory status and service. An overseas firm applies its own relevant regime to this customer. Ordinary commercial counterparties can also use these records for risk assessment without having the same duties as regulated firms.

For EU members, Regulation (EU) 2024/1624 generally applies from 10 July 2027. It should not be treated as replacing the current national AML framework for a 2026 onboarding decision.

Documents commonly requested

The starting file should reflect the legal form and the proposed relationship. These records answer complementary questions:

EvidenceWhat the reviewer looks for
Current nota informativa mercantilName, NIF, legal form, registry identity and current management
Relevant authority certificate or powerCurrent office, registered powers and their scope
Articles and relevant BORME noticesGovernance and the sequence of appointments or amendments
Current shareholder records and ownership chartHoldings, voting rights and corporate ownership layers
Permitted beneficial ownership and identity evidenceRelevant individuals, checked under the applicable process
Annual accounts and commercial documentsFinancial reporting period, expected payments and funding

Registry records establish facts within their stated scope. Current ownership records, identity evidence and mandates may need to come from the client or another permitted source. Keeping those origins visible helps explain differences and the extent of independent corroboration.

The risks behind the paperwork

The management form determines the signing question. A sole administrator, joint administrators, several administrators and a board create different representation arrangements. The presence of a person's name is therefore only the beginning of the authority check. An apoderado acts under a power whose scope needs to cover the instruction. Where formal confirmation is needed, the relevant authority certificate can support the assessment, alongside any mandate or delegation required by the firm.

A public officer list leaves an ownership gap. An ordinary SL or SA does not have a complete public shareholder list in the commercial register. Single-member company disclosure is a specific exception, not a rule for every company. Current company-held shareholder records provide the starting layer in other cases. Corporate shareholders then need their own evidence, and voting or other control arrangements should be reconciled with the declared beneficial owners.

A published appointment may have been superseded. BORME records events such as appointments, removals and capital changes. An older notice can explain who held a role historically without establishing current authority. A later notice or current registry record may change the conclusion. Reading the sequence also helps explain client documents that use an older name, share capital or administrator, so differences are resolved with evidence rather than treated as unrelated facts.

The commercial explanation should connect the stated business with customers, suppliers and expected countries of payment. Filed accounts help assess the historical financial position but have their own reporting periods. A registered corporate purpose or activity classification also needs to be distinguished from any permission required for the actual service offered.

How the Fill Easy email bot helps

An approved organisational sender can request available registry documents from agent@fill-easy.com, using prose, a table or an attached spreadsheet. Include the company identifier and required documents:

Please retrieve current commercial information, relevant management or power certificates, BORME notices and accounts for [company name], NIF [identifier], [provincial registry if known]. Reference: [case reference]. Please include a summary report and confirm availability, price and expected turnaround.

The agent replies with item statuses, asks for clarification where needed, and returns retrieved PDFs in the same thread. Results carry their source, retrieval time and request ID. An optional summary references the documents. Availability, price and expected turnaround are confirmed at acceptance.

This helps the team collect and reconcile the registry evidence. Client-held records and individual identity evidence still follow the appropriate process, while the reviewer resolves remaining gaps and makes the onboarding decision. See the Mailbox workflow for the email process.
