A Vietnamese Enterprise Registration Certificate identifies the company and its legal representative, but its ownership value depends on the legal form. Limited liability company records can show members and contributions, while a joint stock company's public file leaves a less complete current shareholder picture. An onboarding review needs to understand that difference before drawing conclusions about who owns or controls the customer.
Which rules apply
Vietnam's Law on Enterprises and enterprise registration framework govern corporate records and changes. Decree 168/2025/ND-CP also forms part of the beneficial ownership declaration framework. Information held for competent authorities is separate from the ordinary public business-registration output, so a declaration obligation does not create a publicly purchasable list of beneficial owners.
The onboarding firm's own AML regime determines what it must establish. A Hong Kong regulated financial institution follows AMLO and its regulator's guideline to identify and verify the customer and beneficial owners, understand the relationship and carry out ongoing due diligence. Vietnamese records support that assessment; they do not replace the firm's ownership and control tests. Investment and sector-specific permissions are separate questions where the proposed activity depends on them.
Documents commonly requested
| Evidence | What the reviewer assesses |
|---|---|
| Enterprise Registration Certificate and current particulars | Vietnamese name, enterprise code, legal form, office and representatives |
| Relevant registration-file member or shareholder records | Ownership information available for the company form and date |
| Charter and relevant amendments | Governance and powers of legal representatives |
| Current shareholder or member register, from the client | Later transfers and holdings absent from public filings |
| Ownership chart and supporting control documents, from the client | Indirect interests, voting rights and other control |
| Appointment, resolution or delegation and identity evidence | Signatory powers and relevant person verification |
| Applicable investment and activity records, accounts and contracts | Permissions, capacity and expected business activity |
The 10-digit enterprise code also serves as the enterprise's tax code. A dependent unit can carry a longer related code, so a branch record needs to be connected to its parent rather than treated as a substitute for the contracting enterprise. The Vietnamese legal name, including diacritics, should remain with any English rendering.
The risks behind the paperwork
Founding shareholders may not be the current owners. A joint stock company's available registration file can identify founding and foreign-investor shareholders without providing a complete present list after domestic transfers. The company-held shareholder register and transfer evidence help establish the current position. Corporate holders then require further tracing, with control arrangements assessed alongside percentages.
The legal representative is different from the whole management team. A certificate does not provide every director or manager. A general director who is not a registered legal representative may rely on a delegation. Where several representatives exist, the charter and supporting documents need to explain their powers for the proposed transaction rather than relying only on the list of names.
Registration and investment permissions serve different purposes. A foreign-invested business may have a separate Investment Registration Certificate. Its terms and any relevant sector licences need to be considered where they affect the relationship. Registered business lines describe activities, but cannot by themselves establish that all conditions for the actual service have been met.
Recent retrieval can conceal an earlier evidence date. Certificates, ownership records and accounts can describe different periods. A reported change in representative or capital needs the relevant change evidence and reconciliation with the retrieved position. An unavailable public beneficial-owner record remains an access limitation to address with lawful supporting evidence, rather than a clean ownership finding.
Vietnamese originals should remain with any translation or English summary. That preserves the distinction between a registration fact, a charter provision and a statement supplied by the company. The resulting file should explain which records support each ownership or authority conclusion and what remains outstanding.
How the Fill Easy email bot helps
An approved organisational sender can email agent@fill-easy.com:
Please obtain the Enterprise Registration Certificate, available ownership filings and charter for [Vietnamese name], enterprise code [number]. Reference: [case]. Include an English summary and confirm availability of relevant amendments, price and expected turnaround.
The agent replies with order items and statuses, asks for clarification when necessary and returns retrieved PDFs in the same thread. Each result records its source, retrieval time and request ID; an optional summary references the underlying documents. Client-held registers or separate investment records may require a confirmed additional process.
The team then reconciles the records with current client ownership, mandates and identity evidence before making its decision. The Vietnam jurisdiction page explains the available registration documents and differences between company forms.
