A Philippine Certificate of Incorporation establishes incorporation, but does not show that every proposed business activity is authorised. An onboarding file therefore needs to connect the exact SEC-registered company to its officers, owners and applicable permissions. Annual filings and current client documents develop that picture, especially where the General Information Sheet describes an earlier position.
Which rules apply
The corporate framework and SEC filing requirements determine the incorporation records, annual General Information Sheet and financial statements available for the company. Legal form matters: a partnership, One Person Corporation and ordinary stock corporation do not provide identical ownership pages. The SEC's beneficial ownership framework is also separate from its ordinary public company-document service; confidential declarations are not a public GIS output.
The onboarding firm's own AML regime sets its customer due diligence duties. A Hong Kong regulated financial institution follows AMLO and its regulator's guideline to identify and verify the customer and beneficial owners, understand the relationship and conduct ongoing due diligence. Philippine filings supply evidence, while the firm's rules determine the ownership and control assessment. Relevant secondary or other activity licences must also cover the entity actually providing the service.
Documents commonly requested
| Evidence | What the reviewer assesses |
|---|---|
| Incorporation certificate or appropriate registration record | Legal form, SEC number, name and formation details |
| Articles, by-laws and relevant amendments | Governance, capital and constitutional changes |
| Latest applicable public GIS pages | Reported officers, direct holders and reporting date |
| Available audited financial statements | Period, entity, audit opinion and financial position |
| Current shareholder records and ownership chart, from the client | Later transfers, indirect holdings and control arrangements |
| Resolution, secretary's certificate or delegation, from the client | Authority to establish and operate the relationship |
| Individual identity and relevant licence evidence | Person verification and permission for the actual activity |
The complete SEC number should reconcile across the certificate, filings and agreement. A Bureau of Internal Revenue TIN is a separate tax identifier. Where a group brand appears on the application, the reviewer still needs to establish which legal entity will contract, receive funds and perform the regulated or commercial service.
The risks behind the paperwork
Registration can be mistaken for a business licence. A company offering lending, financing or investment services needs the permission applicable to that activity. A licence belonging to a similarly named affiliate cannot support the customer's own authorisation. The underlying licence and current confirmation should explain the scope and entity, rather than relying only on an incorporation document or initial lookup.
The GIS is a dated statement. Reported shareholders and officers may have changed after the annual position recorded in the filing. Current member records and appointment evidence help reconcile the client's account with the last public filing. Missing or stale returns raise a follow-up question about the filing position; they should not silently become evidence of current ownership.
Public holders leave beneficial ownership to be established. Corporate shareholders require further tracing, and voting or nominee arrangements can leave control outside the public list. Confidential beneficial-owner information, including the separate SEC declaration framework, is not an ordinary public purchase. Client-held declarations and supporting records therefore need to explain the chain and any remaining gaps.
An officer title does not explain every transaction power. A listed president or director may still need a resolution, secretary's certificate or delegation for the proposed arrangement. The supporting authority should cover the actual action and date. Financial statements then address another question: reported capacity for a period, assessed with the auditor's opinion rather than treated as a guarantee of current performance.
How the Fill Easy email bot helps
An approved organisational sender can email agent@fill-easy.com:
Please retrieve incorporation records, the latest public GIS and available audited financial statements for [company], SEC number [number]. Reference: [case]. Confirm the filing years, available certification, price and expected turnaround, and include a summary.
The agent replies with order items and statuses, asks for clarification on ambiguous matches or unavailable records, and returns retrieved PDFs in the same thread. Results record their source, retrieval time and request ID. An optional summary references the underlying filings so the findings can be reconciled with the original evidence.
The team still obtains private ownership, identity and mandate evidence through the appropriate processes and resolves the risks before approval. The Philippines jurisdiction page distinguishes the SEC record types and their public coverage.
