Company search in the Philippines

Corporations and partnerships in the Philippines are registered with the Securities and Exchange Commission. The SEC holds the Articles of Incorporation and By-Laws, the annual General Information Sheet that lists directors, officers and stockholders, and the audited financial statements filed each year under the Revised Corporation Code.

Fill Easy returns these filings from the SEC by email to agent@fill-easy.com or through the REST API. Records are in English. Every result records the source, the retrieval time and the request ID.

Registry

Securities and Exchange Commission (SEC)

Securities and Exchange Commission, listed by the Department of Finance among the agencies under its supervision

The SEC is both the company registrar and the securities regulator. Registration now runs through its eSPARC system, which issues a digitally signed Certificate of Incorporation, and annual filings are lodged through its electronic filing platform.

Copies of filed documents are supplied through the SEC Express System, by online order or by appointment at the SEC main office. The SEC's service page says documents ordered through the system are delivered anywhere in the Philippines within three working days; a January 2022 SEC notice put courier delivery at 10 to 15 days.

Check with SEC (checkwithsec.sec.gov.ph) is the free lookup that confirms whether a company is registered as a corporation or partnership and whether it holds the secondary licences needed for investment-taking, lending or financing; it returns at most ten results. eSEARCH (esearch.sec.gov.ph) is the Commission's online channel for downloading filed documents and requesting certified copies, and SEC i-View is its pay-per-use document viewing facility. What is public is the filed document set, not a live register of shareholders.

Identifier

SEC registration number

An SEC-issued number printed on the Certificate of Incorporation. The format has changed over time: older corporations carry alphanumeric numbers with a letter prefix, while certificates issued through eSPARC carry a 13-digit number with a two-digit suffix, for example 2024020135535-00 on the SEC's sample certificate. Companies also hold a Bureau of Internal Revenue Tax Identification Number (TIN) of nine digits plus a branch code.

Documents

DocumentWhat it shows
Certificate of IncorporationThe SEC's certificate that the corporation exists: corporate name, SEC registration number and date of incorporation. Partnerships receive a Certificate of Registration and foreign corporations a licence to do business.
Articles of Incorporation (original and amended)Name, primary and secondary purposes, principal office, term, incorporators, number of directors, authorized capital stock and its subscription and payment at incorporation.
By-LawsRules on meetings, the board, officers, shares and the fiscal year, with any amendments.
General Information Sheet (GIS)The annual return filed within 30 days of the annual stockholders' meeting: directors and officers with nationality and position, each stockholder with nationality, shares held, percentage and amount paid, total capital, and the principal office. The beneficial ownership page of the GIS is not released to the public.
Audited Financial Statements (AFS)The annual financial statements with the independent auditor's report, as filed with the SEC.
Registration data sheet and other filingsBoard resolutions, secretary's certificates, capital stock applications and other documents on the company's SEC file, as listed by the SEC Express System.
SEC certificationA certification issued by the SEC on a corporation's registration or on the documents it has filed, where a counterparty asks for the Commission's own confirmation rather than a plain copy.

Worth knowing

  • Records are filed in English, so no translation is needed for most readers.
  • No local agent is needed. The SEC Express System accepts requests online and delivers nationwide, and Fill Easy places the order and returns the file.
  • Beneficial ownership is confidential. The SEC first collected it on a declaration page of the GIS under Memorandum Circular 15, series of 2019. Its revised rules, Memorandum Circular 15, series of 2025, moved declarations to a new registry, HARBOR, launched on 20 January 2026. The SEC states that beneficial ownership information is not on its public database and goes only to competent authorities. Fill Easy returns the public pages of the GIS.
  • A GIS reflects the position at the last annual meeting. A company that has missed filings shows stale data, and the SEC's own confirmation of status is the safer document for an existence check.
  • Corporations that are also listed or are public companies file additional reports under the Securities Regulation Code. These are published by the SEC and the Philippine Stock Exchange and can be returned alongside the registry documents.
  • One Person Corporations file a GIS without a stockholder page. For partnerships, the Articles of Partnership name the partners.

Questions

How do I verify a company registered with the SEC in the Philippines?

Use Check with SEC to confirm that the company is registered as a corporation or partnership and whether it holds any secondary licence, then order the Certificate of Incorporation or an SEC certification for a document you can file. Fill Easy returns either on request.

What is a General Information Sheet?

The GIS is the annual return every Philippine corporation files with the SEC within 30 days of its annual stockholders' meeting. It lists the directors, officers and stockholders with their nationality and holdings, the capital structure and the principal office.

Can I get the shareholders of a Philippine corporation?

Yes, from the General Information Sheet, which shows each stockholder with the number of shares, percentage and amount paid. Beneficial owners declared on the GIS are not public.

How long does the SEC take to release copies of company documents?

The SEC's service page states that documents ordered through the SEC Express System are delivered anywhere in the Philippines within three working days, while a January 2022 SEC notice put courier delivery at 10 to 15 days. Fill Easy confirms the turnaround with your order.

Does the SEC register sole proprietorships?

No. Sole proprietorships register their business name with the Department of Trade and Industry. The SEC registers corporations, partnerships and foreign corporations doing business in the Philippines.
