Company search in the Isle of Man

What the Isle of Man shows depends on the Act a company was formed under. A **1931 Act company** files an annual return naming its shareholders with their addresses and shareholdings, and its directors. A **2006 Act company**, the island's registered-agent model, files its directors and registered agent but no list of members. Beneficial owners of both are held on the Isle of Man Database of Beneficial Ownership, which is open to the authorities and, since **31 December 2024**, to obliged entities on request.

Registry

Companies Registry

Central Registry, Isle of Man Government Department for Enterprise

The Companies Registry, part of the Central Registry, runs eight registries, including companies under the Companies Acts 1931 to 2004, companies under the Companies Act 2006, limited liability companies, foundations and foreign companies. It examines and stores the documents delivered under those Acts and makes them available to the public.

The free Company Search on gov.im Online Services takes a name or number and returns a company summary: name, number, registry type, company type, registered office, date of incorporation, presence of charges, liquidation and receivership flags, status, previous names and, for 2006 Act companies, the registered agent. Each filed document can then be bought as a PDF for £2, the whole company file for £15 and the charge register for £2, with a free Online Services account; purchased documents stay available for one month.

Worth knowing

  • Beneficial ownership sits on the Isle of Man Database of Beneficial Ownership under the Beneficial Ownership Act 2017, filed by each entity's nominated officer. It is not public. Since 31 December 2024 an obliged entity registered with the Central Registry can request an entity's entry for customer due diligence on form OE3, at £50 per request or £30,000 for a year's subscription, and receives name, date of birth, residence, nationality, extent of ownership, acquisition date and residential address in an encrypted PDF.
  • Since 2026 the registrable threshold is 25% or more of shares or voting rights, with no threshold for control through other means. Where no one qualifies, the nominated officer files a Senior Managing Official instead, who is not a beneficial owner.
  • A 2006 Act company must have a registered agent holding a Class 4 licence from the Financial Services Authority, and only that agent can file its incorporation and annual return. A 1931 Act company needs at least two individual directors and a company secretary, and corporate directors are not permitted.
  • Private 1931 Act companies do not deliver accounts unless they are subsidiaries of an Isle of Man public company, and 2006 Act companies confirm in their annual return that they keep accounting records without filing them. Financial statements are on the public file for public companies only.
  • The certificate depends on the company's Act: a certificate of fact for 1931 Act and other companies, a certificate of good standing for 2006 Act companies. Both cost £50 and are ordered through the Registry's online document submission service.

Questions

Is the shareholder list of an Isle of Man company public?

For a 1931 Act company, yes: its annual return gives the names and addresses of shareholders and changes in shareholdings over the year, and a certificate of fact can state shareholders on request. A 2006 Act company's annual return lists no members, so its shareholders are not on the public file.

How can I tell whether a company is a 1931 Act or 2006 Act company?

From the number and the summary. The Registry's search shows the registry type, and the number carries a letter suffix: C for a 1931 Act company and V for a 2006 Act company.

Who can access the Isle of Man beneficial ownership database?

The authorities, and since 31 December 2024 obliged entities under the island's AML/CFT codes, for customer due diligence only. An obliged entity registers with form OE1 and requests each entity on form OE3, paying £50 per request. There is no public access.

How much does an Isle of Man company search cost?

The company summary on the Registry's Online Services search is free. Each filed document costs £2 to download, the whole company file £15, and a certificate of fact or good standing £50. Fill Easy confirms its own price and turnaround with the order.
