An Australian ABN record and an ASIC company extract answer different questions.

ABN Lookup identifies business and tax-registration particulars. An ASIC company extract adds company officers, capital and the member information ASIC holds.

An Australian Company Number has nine digits; an Australian Business Number has eleven. The ACN identifies a company registered with ASIC. An ABN can belong to a company, sole trader, partnership or another eligible entity, so an ABN search alone does not establish that the business is an incorporated company.

The Australian Securities and Investments Commission, or ASIC, keeps the companies and business names registers. The Australian Business Register, through ABN Lookup, publishes business and tax-registration particulars. Match the legal entity across these sources before interpreting its officers or ownership.

Ask for the registered legal name, ACN where applicable, ABN, entity type and registered office. A trading name can refer to a business operated by another legal person. Identify who will enter the contract and who holds the payment account.

Search ASIC by ACN when supplied. For a name search, compare the legal form, registration date, status and location. Preserve the nine-digit number exactly, with or without display spaces, and record the name used in the source.

A company's ABN commonly incorporates its ACN with two leading digits, but verify the relationship through the official record rather than constructing an ABN yourself. A familiar brand can be used by several subsidiaries, each with its own registration identity.

Use ABN Lookup for its actual purpose

ABN Lookup can establish the ABN's status, entity type, GST registration and business-name information within the published record. Compare its entity name and location with the ASIC company match. Record the dates attached to status and tax-registration information.

An active ABN does not establish a company's financial health or its authority to provide a regulated service. GST registration also does not show that every tax obligation has been met. Preserve what the record states without turning it into a broader compliance assurance.

When the ABN belongs to an individual or partnership, use the due-diligence workflow for that entity type. Ordering a company extract for a trading name may produce a mismatch because the underlying business was never an ASIC company.

Obtain the right ASIC extract

ASIC's basic company search identifies key particulars and the lodged-document list. A paid current company extract adds detailed company information such as officeholders, share structure and the member information ASIC holds for proprietary companies.

A current and historical company extract adds previous recorded details, useful when an older contract names a former director, office or company name. Review the product's coverage and preserve the dates of the relevant entries.

Choose the product around the question. For current onboarding, the current extract may be the starting point. For a suspected recent change, obtain the history and the underlying lodged document images that explain the event.

Reconcile officeholders and signing authority

Read the directors and secretary, appointment dates and any ceased appointments in the historical record. ASIC's sample extract illustrates the fields available and the personal details withheld. Director identification numbers should not be expected as public matching fields in an ordinary company extract.

A director listing is evidence of a registered appointment. The authority to execute a specific contract can also depend on the company's constitution, resolutions, execution requirements and delegated powers. Request the relevant mandate where the signatory's capacity is unclear.

Keep company officers, commercial contacts and beneficial owners as separate roles. A person negotiating the contract may act under a delegation, while an ultimate owner may have no routine signing role at all.

Interpret the shareholder information within its limits

For a proprietary company, ASIC records member information, including the top twenty members per share class in its extract. This is a limited registered-member view. It should not be described as a complete beneficial ownership report or automatically treated as a complete list of every interest.

Read the share classes and amounts paid or unpaid. Compare the disclosed holdings with the company's capital structure and ask for its current register of members where completeness or recent changes matter. Distinguish legal ownership, beneficial holdings and voting rights.

If a member is another company, identify its registration number and jurisdiction, then continue tracing. Aggregate relevant interests held through different paths by the same person and assess other control arrangements under your applicable due-diligence criteria.

ASIC does not hold a complete public shareholder list for a public company in the same way. The company's share register is a separate source. For listed companies, relevant substantial-holder and market announcements can add evidence, but they do not replace a dated analysis of the actual ownership question.

Inspect the filings behind a change

The lodged-document list identifies forms and reports available for retrieval. Registration material, changes to company details and officer-change notifications can help explain discrepancies between a client-supplied document and the current extract.

Use the document number and dates to create a chronology. Preserve the original lodged image where a change matters to the review. A statement that an event was lodged tells you what the source records; it does not justify inferring events outside the searched period.

If a business-name match is relevant, obtain the business name extract to establish the holder. A business-name registration records a trading name and its holder; it does not create a separate incorporated entity or establish trade mark rights.

Know when financial reports should exist

ASIC's Form 388 covers lodged financial statements and reports for entities with the applicable filing obligation. Public companies, large proprietary companies and other categories may need to file, subject to the relevant rules and exemptions. Many small proprietary companies have no public ASIC financial report.

Absence of a report therefore needs a filing-category explanation before it is treated as a compliance concern. Where financial capacity matters, request suitable company financial information or other evidence through an authorised process.

For each report, record the accounting period, filing date, retrieval date and audit opinion included. A recently retrieved report can describe a much older balance sheet. Read the opinion and notes rather than reducing an audited set to a simple pass or fail label.

Check regulated activities and preserve the evidence

Company registration, an ABN and a business-name record do not establish a financial-services or credit licence. Search the appropriate regulator's authorisation record and compare the licence holder and scope with the entity and service proposed.

Keep the ASIC and ABN records, document numbers, sources, dates and unresolved questions together. Confirm the recipient's certification or authentication requirements before ordering documents for formal external use.

For an email request, specify the ACN, current or historical extract, relevant lodged forms and financial periods. We record the source, retrieval time and request ID. Price and expected turnaround are confirmed when the order is accepted.
