Start with the federal CNPJ and locate the relevant state record. Company form and filing dates determine what Brazilian registration acts establish about ownership and authority.

Brazil’s CNPJ identifies a federal registration; the competent state commercial board holds the commercial company’s registered acts.
The Cadastro Nacional da Pessoa Jurídica (CNPJ) is maintained through Receita Federal. The Juntas Comerciais register commercial companies at state level, within the framework overseen by the Department of Business Registration and Integration, or DREI. These records belong in the same evidence file, with their different purposes labelled.
A CNPJ lookup is a practical starting match. For a contractual or ownership review, establish which legal form and registration authority hold the underlying company acts before choosing copies or certificates.
Fix the name, seat and complete CNPJ
Request the exact Portuguese legal name, full CNPJ, registered seat and legal form. Preserve the CNPJ as issued, including leading zeroes or letters where applicable. Its format is evolving, so a legacy digits-only rule can reject a legitimate identifier.
Compare the federal registration name, address and status with the agreement and counterparty documents. A trading name can differ from the legal name. Ask which entity signs the agreement, owns the relevant asset and receives the payment rather than treating the brand as the legal counterparty.
A company can have several establishment records. If the invoice or contract cites a branch CNPJ, establish how it relates to the company’s head-office record. Retain the establishment identifier and the corporate identity together, without describing every establishment as a separate incorporated company.
Locate the competent registration route
Start with the registered seat and identify the relevant Junta Comercial. Brazil’s REDESIM services link registration processes, but they do not make a single state board the registrar of every Brazilian entity. A São Paulo commercial record and one held by another state need their respective local references.
Some legal forms use a civil legal-person registry or another route. Confirm the form from the counterparty’s formation evidence. A missing result at a commercial board may mean you chose the wrong authority rather than proving that the entity does not exist.
Ask for the state commercial reference, including the NIRE where it applies. Preserve the number and authority together. If the company has moved its registered seat, request the records connecting the previous and present jurisdictions instead of assuming the older certificate concerns another company.
Choose a certificate or a filed act
State boards offer different company information and copy services. Product names and fields vary. Define the question first, then confirm which local product answers it.

A certidão simplificada, where offered, summarises registered particulars. An inteiro teor copy reproduces a particular filed act. A summary can identify a change without containing the complete wording needed to assess its legal or commercial significance.
Confirm whether you need an ordinary copy, certified copy or certificate accepted by the recipient. Certification addresses the record or copy within its scope. It does not independently establish that every original company declaration was accurate.
Read quota holders and shareholders by form
For a limitada, the company agreement and amendments can identify quota holders and capital contributions. Read the latest relevant version and any subsequent transfer or capital act. An old agreement can describe former quota ownership while remaining genuine historical evidence.
For a sociedade anônima, subscribers or founders in incorporation documents are not necessarily the current shareholders. Obtain appropriate current company-held shareholder evidence and any relevant market disclosures. Do not extend the ownership fields of a limitada record to every share company.
Available federal shareholder or administrator information can help reconcile the identity and reported roles. Read its scope for the particular form. A person recorded as an administrator should not automatically be treated as an economic owner, nor should an incomplete public ownership view be labelled a full beneficial-owner report.
Corporate holders need their own legal names, jurisdictions and identifiers. Continue relevant ownership paths towards natural persons, aggregate interests across branches and consider voting or other control arrangements separately. Retain the source and date behind each link.
Connect representation to the proposed action
Company acts can record management and representation arrangements. Read whether the relevant administrator can act alone, must act jointly or has limits. Match appointment and amendment dates against the transaction date.
If someone acts under a delegated power, obtain the instrument and check who granted it, what it permits and whether a later act changes the position. A contact person who negotiates a purchase is not necessarily authorised to execute the contract.
A corporate purpose describes the company’s registered activities. It does not establish that a regulated service, professional activity or operating site has every required permission. Identify the relevant licence or approval and match it to the exact company and activity.
Keep federal status within its scope
A CNPJ registration-status result is different from a tax-clearance certificate, financial statement or commercial registry certificate. Preserve the source’s exact wording. Do not convert an active registration into a finding that taxes are fully paid, the company is solvent or the proposed transaction is legitimate.
For financial or operational questions, request the records that actually address them. Company-supplied accounts and site evidence should be labelled by origin and reporting period. Registry documents can tie that evidence to the correct legal person without certifying its commercial performance.
Build a chronology in Portuguese
Keep original Portuguese documents alongside translations or summaries. Identify whether the English text is an analyst’s summary or a translation meeting the recipient’s requirements. Preserve local legal terms where translating them into a familiar company form would change their meaning.
Record the event date, registration date, certificate issue date and retrieval date separately. When company-supplied evidence differs from the state record, ask which change explains it and retain the supporting act or unresolved question.
