A Chilean company search starts by choosing RES or the traditional Commerce Register.
An empty RES result can belong to a company registered through Chile’s traditional route. Identify the regime before ordering company certificates or interpreting ownership.

Chile’s simplified electronic company registry and its traditional registration route hold different evidence.
The Registro de Empresas y Sociedades (RES), associated with Tu Empresa en un Día, records companies within the simplified system. A company using the traditional route can instead have its acts registered in the relevant Registro de Comercio, with related publication and company instruments.
The RUT helps match the company across these records and tax information. It does not tell you, by itself, which registration regime holds the company or which certificate answers the question you are reviewing.
Establish the regime before searching
Request the exact Spanish legal name, legal form, complete RUT, registered location and formation evidence. Ask whether the company belongs to RES or the traditional route, and whether it has migrated between them. Retain the evidence connecting any migration to the same entity.
Search the identified regime and compare the legal name and references with the agreement. A missing RES result does not prove that a traditional company does not exist. Conversely, a local Commerce Register enquiry may be the wrong starting point for a company whose operative record is held through RES.
If the counterparty cannot identify the route, use its formation instrument and certificates to locate the authority. Do not resolve the question by guessing from its age or trading name. Similar names and group branding can refer to separate legal persons.
Use the RUT as a match key
The Rol Único Tributario (RUT) contains a number and check character, which can be K. Preserve the complete issued value and label it clearly. Do not remove the check character or turn it into a digits-only identifier.
Compare the RUT on the registry evidence, invoice and tax-registration information supplied through the Servicio de Impuestos Internos (SII). Record any discrepancy and request an explanation. A company’s tax identity is separate from the registration of its constitution and amendments.
A trading name or operational address can differ from the legal company name and registered location. Establish which company undertakes the contractual obligations and which site performs the service. Keep operating evidence separate from the legal-identity conclusion.
Choose the correct certificate family
RES provides certificates within the simplified regime, including products concerning the updated statute, existence and annotations. A traditional company may require a Commerce Register copy or certificate, the underlying company instrument and the relevant publication evidence.
| Review question | RES starting evidence | Traditional-route starting evidence |
|---|---|---|
| What is the company’s constitution? | Updated statute certificate and relevant acts | Formation instrument and registered amendments |
| What is its recorded existence? | Applicable existence certificate | Relevant registry confirmation or certificate |
| What changes affect the review? | Annotations and relevant recorded acts | Later inscriptions, annotations and underlying instruments |
| What was published? | Evidence applicable to the simplified regime | Relevant Official Gazette publication |
| Who holds shares now? | Entity-appropriate record and company register | Entity-appropriate act and company register |
Confirm the product’s actual scope and accepted format. A certificate of existence does not replace the constitution or a complete ownership record. A publication notice is different from the full instrument to which it relates.
For a traditional record, retain the competent custodian and any volume, entry and year reference. These details help locate the exact act and later changes. Do not assume that one local registry holds every Chilean company.
Read the traditional chronology together
The company instrument, registered extract and Official Gazette publication can record different steps and dates. Preserve the dates actually supplied. A published incorporation extract may establish a historical event while later registered acts describe the present governance position.
When a later amendment changes the name, capital or representation rules, obtain the act and relevant registration evidence. Do not reconstruct a current constitution solely from an old incorporation notice. A current certificate can be useful alongside the historical documents needed for a dispute or acquisition review.
If a legal effect depends on registration, publication or another formal step, obtain the precise evidence and appropriate legal advice. A generic retrieval date cannot stand in for that chronology.
Ownership follows the company form
A limitada has a partner and participation structure that should be read through its applicable constitutional and change records. A sociedad por acciones (SpA) or sociedad anónima (SA) can require the company’s current shareholder register and supporting transfer information.
Founders or subscribers shown on a formation document do not necessarily hold the same interests today. Ask for the date represented by the ownership evidence, relevant share classes and any changes after that date. Match the capital structure to the same version of the company record.
Corporate holders require their own jurisdiction and registration match. Continue the relevant ownership chain towards natural persons and aggregate interests across more than one path. Assess voting or other control rights alongside economic participation.
Ordinary company certificates should not be described as a complete public beneficial-owner determination. Where additional information is restricted or company-held, establish a lawful route and record the evidence gap. A signed chart is supporting evidence whose origin and corroboration remain relevant.
Check representation for the transaction
Read the managers, administrators or representatives and the powers recorded in the applicable documents. A public name does not establish unrestricted signing authority. The constitution or a specific mandate can determine whether joint signatures or another approval are needed.
Compare the appointment and relevant amendment dates with the proposed signature date. If the signer acts under a power of attorney, obtain the instrument and connect it to an authorised grantor. Keep the transaction scope and limitations visible in the review note.
A recent change supplied by the company but absent from the retrieved record needs reconciliation. Request the act, registration evidence or explanation of processing and preserve both records. Do not silently replace the official position with an unsupported assertion.
Separate registration, tax and operating permissions
An SII tax check answers the tax facts stated by that service. It is different from company existence, solvency and licensing. An active tax identity should not be expanded into a conclusion that every tax obligation has been fulfilled.
Likewise, a corporate object or registered activity does not establish all sector permissions. Identify the licence or approval relevant to the proposed service and match the company and location. Request financial evidence separately where credit or performance risk requires it.
Order the identified record set
Send the Spanish legal name, RUT, registered location, legal form and known regime to agent@fill-easy.com. Specify RES certificates or traditional records, the historical period, ownership documents and any certification or translation requirement.
We confirm feasibility and access for the international company registry search. Price and expected turnaround are confirmed when the order is accepted. Keep Spanish originals, translations, authority references and the dates supporting each conclusion together.
