Mexico’s commercial folio and RFC connect different records for the same company.

Use the commercial folio to locate company acts and the RFC to reconcile tax identity. Present shareholders and signing powers may require additional evidence.

Mexico’s electronic commercial folio is different from the company’s RFC tax identifier.

The Registro Público de Comercio (RPC) records commercial acts through the Sistema Integral de Gestión Registral (SIGER). The tax administration, SAT, issues the Registro Federal de Contribuyentes (RFC). An evidence file should connect both identifiers to the same legal entity without treating either as a universal report.

Start with the registered legal name, legal form and seat. A brand, tax invoice or certificate supplied by a group affiliate can otherwise lead to a different company from the one named in the contract.

Preserve both identifiers and their context

Ask for the full RFC and folio mercantil electrónico where known. A legal entity’s RFC commonly has 12 characters, while an individual’s format differs. Preserve the issued value and distinguish the person or company to which it belongs.

Record the commercial folio with the competent office and registration context shown on the documents. Do not shorten references simply to fit a spreadsheet column. Match the returned name, legal form and location with the formation instrument and the counterparty’s application.

For a name search, resolve similar names and abbreviations before ordering detailed records. A commercial suffix identifies a form but is not a substitute for the folio. If a previous name appears in the agreement, request the act connecting it to the present company.

The RFC can support matching across tax evidence and company documents. It does not establish the whole commercial file, current beneficial owners or compliance with every tax obligation. Label the conclusion as tax identity or the specific tax fact actually supplied.

Select the RPC record around the question

The RPC contains registered acts, rather than a continuously updated statement of every internal company fact. Use the consultation or filing history to locate the relevant instrument. Confirm the available document and consultation requirements through the official service.

QuestionEvidence to requestWhat to retain
Which company is this?Commercial folio particulars and formation evidenceFull name, form, seat and references
What are its constitutional rules?Constitutive act and amendmentsThe applicable version and dates
Who can act for it?Relevant representation act or powerScope, grantor and later changes
What ownership was recorded?Applicable registered actThe stated position and its date
Who holds shares now?Company-held ownership books and supporting recordsCompleteness, classes and effective date

A summary or index entry can identify a relevant act without reproducing its full terms. Obtain the underlying copy where capital, governance or representation matters. A certificate of incorporation or formation does not resolve every subsequent change.

Distinguish an RPC-issued copy from a notarial instrument or a company-supplied copy. Each has its own issuer and provenance. If a recipient requires certification, confirm the exact document and accepted format before selecting the retrieval route.

Understand the company form before reading owners

A sociedad anónima and a sociedad de responsabilidad limitada use different ownership and governance arrangements. Read the legal form from the official documents. Avoid applying a shareholder checklist designed for one form to a different form solely because both trade as companies.

An incorporation instrument identifies the founding position. Subscribers, initial shareholders or partners can change later. A registered capital amendment may explain a change in structure without providing a complete present shareholder list.

Request the current company-held shareholder or partner records where your review needs present direct ownership. Ask for the record date, share or participation classes, quantities and relevant transfers. Reconcile them with registered capital and the company’s declaration rather than treating one undated chart as conclusive.

Corporate holders require separate identification. Obtain their jurisdiction and registration evidence, trace relevant paths and aggregate interests held through more than one route by the same person. Review voting arrangements and control rights independently from nominal capital percentages.

Read powers as permissions with scope

A registered officer or representative can have a particular role without holding unrestricted authority for every action. Read the constitutional arrangements and the relevant power. Identify the grantor, recipient, permitted actions and limitations stated in the instrument.

Compare the proposed transaction with the authority actually granted. A power for ordinary administration may raise a different execution question from an asset disposal or guarantee. Where interpretation matters, obtain legal review rather than assuming a title settles it.

For a delegated signatory, retain the delegation and connect it to an authorised grantor. Check relevant later amendments, revocations or changes shown in the evidence you obtain. A historical appointment or power is useful evidence of its period; its age should not be concealed by a recent retrieval date.

Keep commercial contacts separate from proposed signatories. A salesperson, adviser or accounts employee can negotiate or communicate without being the person authorised to bind the company. Resolve that distinction before accepting the execution documents.

Do not promise a public beneficial-owner list

Public commercial filings can supply starting ownership and representation evidence. They do not constitute a universal public natural-person beneficial ownership register. Tax or other declaration obligations also do not automatically create public access to the declared information.

Establish the lawful route for any additional records and ask for company-held evidence where needed. Label a company declaration, an official registry copy and any restricted result by their actual sources. A lack of public access is an evidence limitation, rather than proof that no owner qualifies.

A declaration should be tested against the structure and supporting records. Explain missing branches, inconsistent dates and unresolved nominee or control arrangements in the review note. Apply the beneficial ownership criteria relevant to your institution and relationship.

Add tax, activity and financial checks separately

An RFC or tax-status document establishes only the facts within its scope. It does not certify the commercial legitimacy of an invoice or the company’s financial capacity. If tax clearance is required, identify the appropriate document and access arrangements separately.

The company’s objects and RPC registration are different from authorisation for a regulated activity. Match the relevant licence holder and activity to the contracting company. Likewise, request accounts and financial evidence where solvency or credit risk matters rather than relying on the commercial folio.

Retain Spanish originals and a dated trail

Keep the original Spanish acts, references, issue dates and retrieval details. Translate the passages that support ownership or authority conclusions accurately, and identify whether a formal translation is needed by the recipient.

Record effective dates and registration dates separately. If a recent company resolution differs from the retrieved file, ask for filing evidence and an explanation. Preserve the earlier record and the reconciliation so another reviewer can follow the decision.
