A Spanish nota informativa and a certificate serve different purposes.
A nota informativa supports a company review, while a certificate provides the registrar’s formal confirmation. Select the evidence your recipient actually needs.

A Spanish nota informativa is an information product; a certificación is a registrar's certificate. Both can draw on the Registro Mercantil, but their evidential purposes differ. Ask what the receiving party requires before ordering a company document.
Spain's company records sit with the Registro Mercantil serving the company's registered office. The Colegio de Registradores provides online access to registry products, while the Boletín Oficial del Registro Mercantil, or BORME, publishes registered acts. Each source contributes a different part of the company chronology.
Identify the entity with its NIF
Ask for the full registered name, legal form, NIF tax identification number and registered office. A legal entity's NIF uses nine characters, including the initial letter and control character. Copy it exactly from an official document; a mistyped final character can defeat an otherwise reasonable match.
Preserve the company's registry location and registration details, such as hoja, tomo and folio, when supplied. The NIF and the provincial registry record together provide a stronger match than the brand name alone.
Search by NIF where possible. If you start with a name, compare the office, form and identifying details before selecting a result. A similarly named sociedad limitada and sociedad anónima are different legal forms and may be unrelated entities.
A reserved name or company-name search from the central registry is a different step from verifying an existing company's registration and officers. Make sure the product requested addresses the counterparty already named in your contract.
Select the information blocks you need
The nota informativa mercantil, sometimes called a nota simple, can show identifying data, capital, corporate purpose, directors, powers of attorney and other registered information. Its content depends on the blocks requested and the entries available.
Start with the identifying particulars and management. Add the relevant accounts, registered acts, pending entries or special situations where they answer a question in the review. Retain the product's scope so an omitted block is not mistaken for a negative search result.
Read the date and source of the information. A document supplied months earlier may still identify the correct company while no longer describing the officers or powers currently registered. Obtain an updated record where the transaction requires current evidence.
Check officers and powers in the form actually used
A Spanish company's management can take different forms, including a sole administrator, joint or several administrators, or a board. Read the structure and representation rules in the record rather than assuming that every listed director can sign alone.
An apoderado acts under a power of attorney. Review the scope of the registered power and whether the proposed transaction falls within it. If formal evidence is required, a certificación de poderes can confirm the registered authority of the named person within its stated scope.
A certificación de vigencia y cargos addresses the company's existence and current officers. A certificate of a specified office answers a narrower question. Choose the certificate around the receiving party's requirement rather than ordering a generic document and hoping it covers the signatory.
Use BORME to reconstruct events
BORME entries publish acts such as incorporation, appointments, removals, capital changes, mergers, dissolution and insolvency. Search the company's identifiers and compare the notices with the current registry information.
A notice announcing an appointment is historical evidence of that event. A later notice may record a removal, so the earlier publication alone does not prove current authority. Preserve the relevant sequence when an older contract or supplied document refers to a former officer.
Record the effective, registration and publication dates shown in the underlying material. Where the legal effect of a pending or recently registered event matters, obtain the appropriate certificate or legal advice instead of treating all dates as interchangeable.
Request the actual accounts
The depósito de cuentas is the filed accounts product. An information record showing that accounts were deposited is not the financial statements themselves. Order the reporting periods needed for the assessment and check whether the filing is individual or consolidated.
Read the balance sheet, profit and loss information and notes available for that company. The format and detail can vary with the applicable filing category. Record whether an audit report appears in the filed set and what period it covers.
Compare the financial year, filing date and retrieval date. A recently downloaded filing can describe an older financial position. If your decision depends on current cash or turnover that the public file does not establish, request suitable additional financial evidence.
Trace ownership beyond the public officers
The Registro Mercantil does not provide a complete public shareholder list for an ordinary SL or SA. A single-member company records its sole shareholder, but that exception should not be generalised into full disclosure for every company.
Request the current shareholder book or suitable company-held ownership evidence for other cases. Identify share classes, voting rights, the date of the record and relevant control arrangements. Where a shareholder is a company, continue the chain using its own registration identity.
Aggregate relevant interests held through multiple paths by the same natural person. Directors and authorised representatives should not automatically be treated as beneficial owners solely because their names are publicly available. Apply the ownership and control criteria relevant to the actual due-diligence obligation.
Keep beneficial ownership access separate
The registrars' RETIR and the Ministry of Justice's Registro Central de Titularidades Reales, or RCTIR, hold beneficial ownership information. Royal Decree 609/2023 establishes the central framework. Access depends on the applicant's legal status and purpose.
Check the authorised route for your organisation under the current official guidance. An obliged entity's due-diligence access and a legitimate-interest application are different processes. Public access to a nota informativa does not give permission to retrieve restricted beneficial owner information.
Where direct access is unavailable, ask the client for permissible filing evidence and supporting documents. Record the origin of each item and any ownership links that remain uncorroborated.
Complete the evidence pack
A corporate purpose or activity code describes registered activity. Verify any necessary regulatory licence separately against the same NIF and legal name. Registration does not establish authorisation for every service offered on a website.
Keep the Spanish originals, translations, source, NIF, registry references and retrieval time. Confirm certification, electronic authentication and any further formalities with the recipient. For an order, specify the nota blocks, accounts periods and precise certificate required. We record source, retrieval time and request ID. Price and expected turnaround are confirmed when the order is accepted.
Does your Spanish evidence pack answer the recipient's question with the right information product or certificate?
