Bermuda company evidence comes from the Registrar and the registered office.

Bermuda publishes director records through the Registrar. Members are recorded at the company, and beneficial ownership has a separate restricted access regime.

Bermuda's public director record and its register of members have different custodians. The Registrar of Companies holds filed director information. The company keeps its register of members at its registered office.

The Companies Act 1981 addresses these routes separately, including member inspection under section 66 and the director register under section 92B. A useful company review identifies which record answers each question and who is responsible for supplying it.

Begin with the exact name and registration number. Compare the incorporation or registration date, registered office and previous names against your contract and counterparty documents. Retain the number in all later requests.

The Registrar records local and exempted companies, limited liability companies, partnerships and overseas entities with permission to operate. Those forms do not all use the same constitutional document or membership terminology. A memorandum of association relates to a company; an LLC or partnership has its own formation or registration evidence.

Confirm whether your counterparty is the Bermuda entity or an overseas parent. A group trading name or the address of an administrator does not establish which legal person is accepting the transaction obligations.

The Registrar's online services support searches and document requests, with account and identification requirements. Follow the current portal process and confirm the available record and document format before ordering. Do not assume public inspection means anonymous access without procedural steps.

A company search can establish the recorded office, incorporation particulars, previous names, memorandum and registered charges within its available scope. Retain the retrieved result and the time it was obtained rather than only transcribing selected fields into a spreadsheet.

Ask for the register of directors where the signatories or governance are material. Compare current directors with the appointments and changes shown in the record. An alternate director should be described in that capacity instead of merged into an undifferentiated officer list.

Review authority beyond the director list

Being a recorded director does not by itself explain the company's approval process for every agreement. Where your transaction requires proof of authority, request the appropriate board resolution, mandate or other authorisation and review it with the company's constitution.

Check that the company number, transaction description and authorised signers agree across the documents. If authority has been delegated, retain evidence of the delegation and any limitations that affect your transaction.

Recent appointments deserve a date check. A company-supplied resolution may precede notification or processing at the Registrar. Obtain the relevant filing or explanation and record the unresolved interval rather than stating that either record must be false.

Request the member register at the company

Section 66 of the Companies Act provides a public inspection route for the register of members at the registered office, including for exempted companies. The Act also addresses opening arrangements, copies and permitted closure of the register. Check the applicable arrangements before planning an inspection.

A member register obtained from the company is a different source from a Registrar search. Retain the issuing company's name, the custodian or authorised supplier, the date of the extract and the stated effective date of the information.

Ask for sufficient share information to understand the relevant ownership interests. A list of names alone may omit the quantities or classes needed for analysis. Where a member is a corporate entity or nominee, trace the relevant ownership and control arrangements rather than describing every member as a beneficial owner.

If the company is an LLC or another form, identify the applicable member-record procedure for that form. Do not apply the Companies Act inspection provision to every Bermuda legal person simply because it appears in the Registrar's search.

Handle beneficial ownership as restricted evidence

Bermuda's Beneficial Ownership Act 2025 establishes a separate central-register framework. Its access provisions concern listed authorities and relevant persons within the anti-money laundering regime. There is no general public beneficial ownership search under the ordinary company search process.

Check current government guidance before pursuing an access route, particularly where transitional regulations or procedures affect the application. A company search order is not proof that the requester qualifies for restricted data.

Keep the applicant's eligibility, purpose and any access decision with the file. If you lawfully receive a beneficial ownership result, compare it with member records, ownership declarations and control evidence. Respect the conditions on use and further disclosure.

Company cooperation may provide additional ownership evidence without granting access to the central register. Label those documents according to their source. A declaration from a director or administrator should not be described as an independently retrieved central-register result.

Choose certification for the receiving institution

The Registrar can provide filed documents and a certificate of compliance. Define which certificate or copy your bank, adviser or receiving authority needs, including whether it must be certified and whether separate legalisation is required.

The certificate concerns compliance within the Registrar's scope. It is not an assurance that the company can meet its debts, owns a stated asset or has no claims against it. Its issue date should be compared with the decision date and any intervening events.

An administrator-issued incumbency statement may identify officers or members from the administrator's records. Record that issuer and the underlying source. The fact that a document is signed or notarised does not change who made the original statements.

Review charges and missing evidence

Registered charges can be relevant to asset acquisition, lending or investment. Obtain the relevant charge particulars and any satisfaction record when the summary suggests an entry that affects the transaction. Identify the registration date and the specific security described.

An empty charge result does not establish that the company has no debt or contractual restriction. Likewise, a clean director or status record says nothing by itself about financial performance. Request accounts, transaction evidence or other checks appropriate to the decision.

Record access limits separately from adverse findings. A restricted ownership record that you cannot lawfully obtain is an evidence gap. It is not proof that the company has concealed a beneficial owner or that no beneficial owner exists.

Order a coordinated evidence pack

Send the exact Bermuda name and registration number through our mailbox. Specify the Registrar search, director record, constitutional documents, charges and certificate required. Identify any company-held member records and the authorised contact who can assist.

Price and expected turnaround are confirmed when the order is accepted. Keep Registrar-issued documents, company records and restricted-access results separately identifiable within the CorpVerify review file.

Can your Bermuda approval show which facts came from the Registrar, which came from the company and which remain unverified?
