An Irish annual return is an ownership snapshot with its own date.
The latest annual return can be older than the officer changes on file. Read the return date, later filings and the separate beneficial ownership access rules together.

An Irish company's annual return records its position at the return date. The document can be the latest available return while later forms already record new directors or other changes. Retrieval today does not make every field current today.
The Companies Registration Office, or CRO, provides public company information through CORE. The Register of Beneficial Ownership, or RBO, is a separate source with restricted access to personal ownership information. Use each record for the question it can answer.
Establish the company rather than the business name
Ask for the legal name, CRO company number, legal form and registered office. A registered business name is not the same thing as an incorporated company. A sole trader, partnership or company may use a business name, so identify the holder before relying on the trading style.
Search CORE by company number when it is available. For a name search, compare the legal form, address, status and incorporation date before choosing a result. An old invoice may use an earlier name; retain the evidence connecting that name to the company now on the record.
Check that the contracting party, payment account holder and supplied company certificate refer to the same legal entity. If a parent company's name appears in the contract while a subsidiary will perform the work, resolve who bears the obligation rather than merging both companies into one profile.
Start with the record and filing list
CORE's basic company information establishes the registered name, number, type, office, status and registration date. A company printout adds the detailed particulars held by the CRO. The filing list helps select the forms needed for the review instead of treating the printout as the entire evidence pack.
Obtain the latest Form B1 annual return and identify its made-up date. Read the registered office, directors, secretary, share capital and shareholder details as a snapshot at that date. Record the return's filing date separately.
The accounts attached to a return describe their own financial period. The company's first return and other permitted filing circumstances may differ from a routine annual return with accounts. When accounts are absent, establish the filing category and explanation before interpreting the gap.
Reconcile changes since the annual return
The CRO's filed document images let you follow events between annual returns. Form B10 records changes to directors or secretary. Other forms record office changes, charges and liquidation events. Select those relevant to the period after the return and the proposed transaction.
Create a simple chronology using each event's effective date and its filing date. A departure that took effect before the form was lodged should not be treated as effective only when your analyst downloaded it. Preserve both dates and seek clarification where the sequence is inconsistent.
A former director in the annual return may already have resigned. The printout and later forms can explain that discrepancy. If a counterparty supplies an older return as proof of current authority, request the intervening filings and a current authority confirmation.
Check who is authorised to execute the transaction
A CRO record identifies officers; it does not document every delegation for every contract. Read the constitution where relevant, ask for the resolution or mandate required for the proposed transaction, and check the authority of the person granting it.
A company secretary's recorded appointment does not automatically settle the scope of authority to negotiate or sign a specific agreement. A person acting under a power of attorney should provide the instrument and any applicable limitations.
For a high-value or unusual transaction, your legal review may need the execution requirements for that company type and instrument. Keep the commercial contact distinct from the authorised signatory and the individuals exercising ultimate control.
Trace the shareholders without losing the date
The B1 includes registered shareholder information. Begin with the latest available return, then ask the company for its current register of members and relevant transfer or allotment evidence if the ownership position may have changed since that date.
When a shareholder is a legal entity, identify its own registration number and jurisdiction and continue the ownership chain. Aggregate interests held by the same natural person through different paths. Assess voting arrangements and other control rights in addition to nominal share percentages.
The shareholders in a public return are registered members. Nominee arrangements or corporate ownership can mean they are different from the ultimate beneficial owners. Document this distinction instead of relabelling the B1 as a beneficial ownership report.
Request RBO information through a permitted route
The RBO's guidance separates designated-person access from other access applications. General public access changed after the Court of Justice judgment of 22 November 2022. Public entity information does not give an unrestricted view of beneficial owners' personal details.
Use the current RBO process for your applicant category and due-diligence purpose. An obliged institution should confirm its designated-person access arrangements. Other applicants may need to demonstrate a qualifying legitimate interest, with supporting evidence.
If your organisation cannot independently access the relevant information, ask the client for permitted evidence of its own registration and the ownership documents supporting it. Record who obtained the copy, its date and the limits of independent verification. A count of registered beneficial owners does not reveal their identities or resolve an ownership chain.
Read accounts, status and licences separately
The available financial statements may be full, abridged or prepared under a smaller-company filing category. Compare reporting periods across years and note whether an audit report is included. An exemption or reduced disclosure format should not be described as an auditor's endorsement.
Read company status alongside liquidation, strike-off or other relevant filings. Incorporation and continued registration do not establish solvency. They also do not establish authorisation to conduct a regulated business; check the appropriate regulator against the exact legal entity and activity.
Assemble an evidence pack that another analyst can repeat
Save the CORE match, company printout, annual return, selected later forms, accounts and ownership evidence. Record the CRO number, document references, effective dates, reporting periods, retrieval time and outstanding questions. Confirm any certification or authentication requirements with the receiving party before ordering a certificate.
For a company search request, specify the CRO number, latest annual return, accounts periods and officer-change period. We record the source, retrieval time and request ID. Price and expected turnaround are confirmed when the order is accepted.
Can your reviewer explain which Irish company facts are current and which belong to an older return date?
