A Macau quota-company certificate records owners and how the company is bound.

Choose a certified record or an informational written report. Macau company forms determine whether registered quota holders or a separate shareholder record supplies the ownership evidence.

Macau’s commercial registration certificate can show both quota holders and the rules for signing on behalf of the company.

The Commercial and Movable Property Registry, under the Legal Affairs Bureau, records company incorporation and changes. Its Commercial Registration Information Platform publishes basic reference information. The registry also issues certified commercial registration certificates and informational written reports.

For an onboarding file, decide whether you need a preliminary match, a certified instrument or registered history. The legal form of the company determines how much public ownership information the selected record can supply.

Match the registration number

Ask for the exact registered name in Chinese or Portuguese and the commercial registration number. Preserve the number together with any registry suffix shown on the company documents. A Financial Services Bureau taxpayer number is a separate identifier and should be labelled separately in your file.

Search the Commercial Registration Information Platform by number or keyword. Compare the returned name, registered office and other particulars with the agreement. Macau and Hong Kong are separate registries; a similarly named Hong Kong affiliate is not a substitute for the Macau entity.

Chinese, Portuguese and English trading names can differ. Retain the official names shown on the registry record and use an English rendering only as a labelled translation or trading name. Ask the counterparty to explain any invoice or website name that does not match.

Choose information or certification

The Macao SAR Government’s service guide distinguishes a commercial registration certificate from a written report of commercial registration, often called 查公司紙. The written report provides information; it is not the same certified instrument as the certificate.

Anyone may apply for the written report under the published service description. Online and counter services can have different application procedures. Confirm the available channel and required document format before planning a delivery to a bank or overseas authority.

A certificate of admissibility of business name, sometimes called 查名紙, addresses whether a proposed name may be registered. It belongs to an incorporation process. Do not use it as evidence that a company has already been incorporated or is currently registered.

Read the signing rule as a rule

The certificate can record administrators and how the company is bound. Read the wording carefully: the record may require a particular administrator, more than one signature or another specified arrangement. Listing a person as an administrator does not mean that one signature from that person always suffices.

Compare the registered arrangement with the signatories and date on the transaction. Where someone relies on a registered power of attorney, request the relevant particulars and check scope. Where authority comes from a company resolution or other delegation, retain that document alongside the register.

A detailed certificate can help explain a change in administrators or representation. If you are reviewing an old contract, request the historical period that covers its execution. A current record should not be used to infer which signing arrangement applied years earlier.

Quota companies and share companies differ

For a quota company, commonly identified as 有限公司, the certificate can show quota holders and their quotas. These are the registered direct owners. They can include companies, so a natural-person ownership conclusion may require another registry search and supporting evidence.

For a company limited by shares, the public record does not provide the same complete shareholder picture. Capital, administrators and published articles should not be converted into a full shareholder list. The company-held shareholder register can be necessary to establish direct holdings.

In either form, registered ownership may leave nominee, trust or voting-control questions unresolved. Ask for a dated ownership chart and declaration, then reconcile it against available public and company-held records. Review control separately from the capital percentages shown.

A corporate quota holder in another jurisdiction must be matched to its own registration number. Avoid resolving that link by name alone, particularly where several affiliates use similar names. Keep each link’s evidence and date in the ownership file.

Attachments and language matter

The articles can be attached to a certificate or written report. They may also be published in the Macao Official Gazette. Identify which version and amendments you need, because an original constitution can differ from the company’s later registered rules.

Registry records use Chinese and Portuguese, Macau’s official languages. An English translation is a separate step. Keep the issued original and identify whether the accompanying English text is a summary, ordinary translation or a translation meeting the receiving institution’s formal requirements.

The public platform describes its information as being for reference. Where a recipient requires certified evidence, obtain the appropriate issued record rather than relying solely on that platform. Retain any registry confirmation associated with a certificate you receive.

Separate registration from regulated activity

The company’s object and capital describe registered facts. They do not establish a gaming, financial services or other activity licence. Identify the regulator responsible for the actual service and check that the permission covers the exact legal entity and proposed activity.

Business tax status is also a separate enquiry. The commercial register cannot establish every tax or operating fact. Record the source for each conclusion rather than allowing a valid registration certificate to stand in for the whole review.

A certificate’s acceptability depends on the receiving institution’s recency and form requirements. Ask how recently it must have been issued and whether attachments, translation or further formalities are needed. Do not invent a universal expiry period for all uses.

Order the record and the question

Send the official company name, commercial registration number and Macau as the jurisdiction to agent@fill-easy.com. Specify certificate or written report, current or detailed version, historical period and whether articles or translation are required.

We return available CorpVerify records by email or API with source, retrieval time and request ID. Price and expected turnaround are confirmed when the order is accepted. Company-held shareholder information and special recipient formalities may require separate arrangements.
