A Dutch KVK extract identifies authority before it resolves ownership.
A KVK extract can establish the entity and its signing rules. Multi-shareholder ownership usually needs additional company documents and an authorised UBO access route.

Every Dutch business or organisation in the Business Register has an eight-digit KVK number. A trade name, an establishment number and a tax identifier describe different parts of the record. Start with the KVK number when checking who will sign your contract.
The Netherlands Chamber of Commerce, or KVK, keeps the Handelsregister and the UBO register. Its Business Register products cover registered particulars, officers, filed accounts and certain corporate relationships. Ownership disclosure has limits that matter when a Dutch company sits in a wider group.
Separate the legal entity from its locations
Ask for the statutory name, KVK number, legal form and registered seat. A company can use several trade names, and a group can have several companies at the same address. The entity taking the contractual obligation must be identified independently of the brand on its website.
Legal entities and partnerships may also have an RSIN, used in dealings with government bodies. Each establishment has its own establishment number. Preserve all supplied identifiers with their labels; an establishment number should not be silently treated as the company's KVK number.
Search KVK by number where possible. For a name search, compare statutory and trading names, legal form, address and registration details before selecting the result. Record the match decision so another reviewer can see why a similarly named business was excluded.
Order the principal establishment's extract
A KVK Business Register Extract lists the registered particulars and officials, including the authority recorded for directors and authorised representatives. Check whether you are viewing the principal establishment or a branch. KVK notes that an extract for a branch establishment does not list the officials.
If you receive a branch extract, obtain the principal establishment's record before approving a signatory. A branch's trading address can be operationally important while the authority to bind the organisation appears elsewhere in the register.
Choose the format required by the recipient. A viewable extract and a digitally certified extract serve different evidence needs. For an externally submitted document, confirm whether the recipient accepts the digital certification and whether it requires a translation or additional authentication.
Read the actual signing rule
The officials section identifies roles and recorded powers. Read whether a director can act alone or jointly, and whether an authorised representative has limitations. A title such as managing director on a business card cannot replace the registered authority or a valid delegation.
Where a company is itself a director, obtain the director company's extract and identify the natural persons who can act for it. The resulting authority chain may be different from the ownership chain. Keep both visible in the review.
If a salesperson or finance employee signs, ask for the delegation or power of attorney and verify the grantor's authority. The value and nature of the proposed transaction should fall within the documented permission. Resolve any mismatch before treating the signature as approved.
Know what the extract says about shareholders
KVK's description of the Business Register explains that a sole shareholder can appear in the public record. Other shareholders of a BV or NV are recorded in the company's own shareholders' register rather than a complete public KVK ownership list.
A named sole corporate shareholder is a starting point for tracing. Obtain that entity's own record and continue towards the relevant natural persons. If the extract shows no sole shareholder, request the company's current shareholder register or other suitable ownership evidence.
Ask for share classes, voting rights and the date of the ownership statement. A percentage of issued capital can differ from voting power or entitlement to profits. Reconcile company documents with the ownership declaration, and assess control arrangements even where shareholdings fall below your applicable threshold.
The Group Structure Overview can help identify corporate relationships such as sole ownership, liability and directorship. It does not establish a complete map of every beneficial owner, and relationships with natural persons are not the purpose of that product.
Use the UBO route your organisation qualifies for
KVK's page on access to UBO data describes restricted access categories. The Court of Justice judgment of 22 November 2022 changed general public access across the EU. The permissions available to your organisation and the data released should be checked against the current KVK process.
An organisation carrying out regulated due diligence should use the access route applicable to its status. Do not assume that a paid ordinary extract includes beneficial owner data or that possession of the client's KVK number creates an access right.
Where direct access is unavailable, ask the client for permissible evidence of its own UBO registration and the underlying documents. Record whether the evidence came from KVK through your authorised account or from the client. A declaration remains evidence supplied by the declaring party.
Review history and accounts together
Use Corporate History when an earlier name, officeholder or address matters to the transaction. Historical coverage follows the product's scope, so avoid assuming that an online history contains every event since incorporation. Retain the product description with any conclusion based on its coverage.
The deposits overview identifies filed documents and dates. Order the accounts for the periods relevant to the review, then distinguish the financial year, approval or filing date, and retrieval date. A recently downloaded filing can still describe conditions from an earlier year.
Smaller companies may file reduced accounts. A group relationship or liability declaration can also affect what financial evidence is useful. If turnover or liquidity is important to the decision and absent from public filings, request supporting financial information directly.
Check the service and preserve the file
An activity description in the Business Register is registered business information. For a regulated financial or professional service, verify the specific authorisation with the competent regulator and compare the licence holder's legal identity with the KVK record.
Save the original Dutch documents and any translation. The file should identify the KVK number, establishment searched, source, retrieval time, reporting periods, signatory rule and unresolved ownership questions. Explain why any branch or similarly named entity was rejected.
For an order by email, specify the principal establishment extract, certification format, accounts periods and any history or filed deed required. We record the source, retrieval time and request ID. Price and expected turnaround are confirmed when the order is accepted.
Does your Dutch company file show both who can sign and how the ownership conclusion was reached?
