A Philippine GIS records a filing position; SEC registration and secondary licences need separate checks.

Use SEC records to establish the exact Philippine entity and its filed position. A GIS, incorporation certificate and secondary licence answer different onboarding questions.

A Philippine Certificate of Incorporation establishes incorporation; it does not establish every licence the company needs.

The Securities and Exchange Commission (SEC) is the company registrar and a regulator of relevant activities. It supplies company filings through its document services and offers an initial registration and secondary-licence lookup through Check with SEC.

For an onboarding file, match the exact corporation or partnership first. Then obtain the filings and permissions that support the relationship. A company offering lending, financing or investment services needs an activity-specific review beyond finding its name in the register.

Ask for the exact registered name and SEC registration number. Number formats have changed over time, so preserve the complete value as it appears on the certificate, including any letters, punctuation or suffix. Do not reject an older number just because it differs from a recent sample.

The company’s Bureau of Internal Revenue TIN is a separate tax identifier. Label it separately and use the SEC number for the corporate record match. Compare name, incorporation date and registered or principal address across the available documents.

Identify whether the applicant is a domestic corporation, partnership or foreign corporation licensed to do business. Partnerships receive a Certificate of Registration; a foreign corporation’s authority to do business is a different record from domestic incorporation. A familiar group name can cover several distinct entities.

Use the free lookup for its stated scope

Check with SEC helps confirm registration and the secondary licences shown in its service. It is a starting check, rather than a replacement for the underlying incorporation and licensing documents. Name search results can be limited, so resolve the precise entity before treating a missing result as conclusive.

For a regulated activity, inspect the licence or permission applicable to the legal entity and service. Compare the name and identifiers with the contract. A licence held by a group affiliate does not automatically authorise the company you are onboarding.

If a status or permission remains unclear, request the relevant SEC confirmation or additional documents. Record the source and date of the check and explain the outstanding question. An initial result should not be expanded into a finding about tax compliance, solvency or all possible regulatory obligations.

Select the document set

SEC services can provide copies of incorporation documents, annual filings and other documents on the company file. Available channels include eSEARCH and the SEC Express System. Confirm whether you need a plain copy, certified copy or SEC-issued certification before ordering.

Review questionRecordWhat to verify
When was it incorporated?Certificate of IncorporationName, SEC number and date
What are the constitutional rules?Articles and By-LawsAmendments and applicable company form
Who was reported as officers and holders?General Information SheetReporting date, filing date and public pages
What was reported financially?Audited Financial StatementsPeriod, auditor’s opinion and entity
Is a specific permission held?Relevant licence and SEC confirmationScope, exact entity and status

The original Articles of Incorporation describe the founding position, including incorporators and initial capital subscriptions. They do not necessarily identify present shareholders. Request amended articles when later capital, name or constitutional changes matter.

Read the GIS as an annual statement

The General Information Sheet (GIS) reports officers, directors and other applicable company information. For ordinary stock corporations, its public stockholder information can include names, shares, percentages and related particulars. Read the reporting position and filing date before using it as ownership evidence.

A GIS reflects the position reported for the relevant annual meeting and filing. It is not a continuously updated shareholder register. If the company claims a later transfer or appointment, request supporting records and reconcile the change with the last public filing.

Company forms affect the contents. A One Person Corporation does not provide the same stockholder page as an ordinary stock corporation. For a partnership, the Articles of Partnership are relevant to identifying partners. Do not promise an identical GIS ownership table for every entity.

Public holders are direct holders of record. Where a shareholder is a company, trace it by registration number in its own jurisdiction. Review control arrangements and aggregate relevant indirect interests rather than equating the first page of a GIS with a complete beneficial-owner conclusion.

Keep confidential beneficial ownership separate

The SEC’s beneficial ownership rules provide a separate declaration process. Its revised framework and HARBOR registry concern information for authorised purposes and competent authorities. Beneficial ownership declarations are not an ordinary public company-document product.

Do not describe a public GIS copy as including a confidential beneficial ownership declaration. Request lawful company-supplied ownership evidence when your due-diligence obligations require it, and document where public access ends. A blank or withheld page is an access limitation, not proof of absent ownership.

Ask for a dated ownership chart, declaration and supporting shareholder records. Compare them with public filings and resolve differences in dates, percentages and entity names. Keep the basis for each natural-person ownership or control finding in the file.

Read the AFS with its audit report

The Audited Financial Statements (AFS) provide financial information for the stated accounting period. Inspect the auditor’s report, opinion, qualifications and scope, alongside the statements themselves. Filing an AFS does not make every reported figure a guarantee of current financial capacity.

Match the SEC number and entity name to the other documents. Distinguish stand-alone accounts from group information where applicable. A later trading deterioration or new liability may require more recent company-supplied evidence, clearly labelled by source and period.

Most SEC corporate records are in English. That reduces translation work but does not remove certification or document-format requirements. Ask the receiving bank, authority or adviser which form it will accept before selecting a delivery channel.

Preserve a reproducible review

Keep originals, copies, source URLs, retrieval dates and order references together. Record each document’s reporting date separately. Explain any missing annual filing, conflicting address or unconfirmed secondary permission as an action for follow-up.

For signatories, connect the registered or reported officer to the actual resolution, secretary’s certificate or delegation used in the transaction. Being named as an officer does not automatically establish authority to execute every agreement.

Order the required filings

Send the legal name, SEC number, Philippines as the jurisdiction and required document years to agent@fill-easy.com. Specify incorporation records, GIS, AFS, amendments and any secondary-licence or certified-copy requirement.

We return available CorpVerify records by email or API with source, retrieval time and request ID. Price and expected turnaround are confirmed when the order is accepted. Confidential ownership information and company-held authority records may require separate cooperation.
