A Swedish company extract and its shareholder register are separate sources.

Bolagsverket establishes registered company particulars. Its record, the company’s shareholder register and tax information answer different questions.

A Swedish legal entity's organisation number has ten digits. It connects the registered company to its filings and other official references. The company's trading name, a VAT reference and a person's role in the business should be recorded separately from that legal identity.

Bolagsverket, the Swedish Companies Registration Office, provides company registration information and documents. Skatteverket, the Swedish Tax Agency, provides tax-registration information. The public service Verksamt connects businesses to the relevant authority processes; it is useful to keep the issuing authority visible for every item obtained.

Request the full registered name, organisationsnummer, legal form and registered office. The organisation number is commonly displayed with a hyphen separating its two groups. Preserve the complete identifier and do not convert it into a shortened numeric field.

Search using the number where the official service permits. For a name search, compare the legal form, address and registration details before selecting a result. Several companies can share a group brand while each remains a separate legal person with its own obligations.

Swedish business activity can also be carried on by an individual or another organisational form. An individual business needs the relevant person and business-registration workflow. Do not assume that every invoice heading describes an incorporated aktiebolag, or AB, with a separate shareholder and board structure.

Choose the Bolagsverket product you actually need

A registration information product can establish the registered particulars within its scope. A registreringsbevis, or registration certificate, serves a specified official-document purpose. Confirm which current product supplies the identity, management or authority fields needed for your review.

Access requirements differ between services and requested information. An account, electronic identification, payment or an authorised process may be required. Check the official route before promising that every document is anonymously downloadable or available to every foreign requester.

If a client supplies a certificate, compare its organisation number with the proposed contract and obtain current information where the certificate's age matters. Retain the supplied item as evidence from the client; do not present it as a document independently retrieved by your organisation.

Review officers and signing arrangements

Read the registered management roles and firmateckning, the signing arrangements, in their actual terms. A board member, managing director and authorised signatory can have different roles. A person appearing in the record should not automatically be described as able to sign alone.

A joint-signature arrangement requires the relevant combination. Where the proposed instruction comes from someone outside the registered arrangement, request an appropriate delegation, resolution or power of attorney and check the grantor's authority and the scope of the mandate.

Compare current authority with the transaction date. A former director on an older certificate may no longer hold office. An appointment after a contract was signed should not be used to infer authority at the earlier date without further evidence.

Keep the commercial contact, company management, transaction signatory and owners as separate roles in the review. One person can occupy several roles, but each link should be supported by the record or document that establishes it.

Use history and acts to resolve changes

Relevant filed documents can explain formation, changes of name, management or other registered particulars. Select the material that answers the discrepancy rather than treating a large document download as proof that every issue has been resolved.

Preserve the event and registration dates shown in the source and the time you retrieved it. If the supplied constitution or company certificate predates a later change, obtain the relevant updated material and document how it connects to the same organisation number.

A company may change name or registered office while retaining its identity. A similarly named company with another organisation number is a different legal person. Shared addresses or websites should remain contextual evidence rather than a substitute for the registration link.

Request the shareholder register separately

For a Swedish limited company, the aktiebok, or register of shareholders, is a separate ownership record. Depending on the company’s arrangements, it is maintained by the company or the relevant central securities depository. An ordinary Bolagsverket registration certificate should not be presented as a complete register of current shareholders.

Ask for the current shareholder evidence and confirm the applicable inspection or supply route for the company and requester. Listed or securities-system arrangements can involve additional sources. The correct ownership workflow depends on the entity rather than the title of the certificate you already hold.

Record the date, share classes, voting rights and holdings in the evidence supplied. An incorporation subscriber record describes formation and may have been superseded by transfers or later issues. Reconcile any difference between historical documents and the current ownership chart.

When a shareholder is a company, identify it by its own registration reference and continue the chain. Aggregate relevant interests held through multiple paths by the same natural person. Assess control rights and arrangements alongside economic ownership under the criteria relevant to your due-diligence process.

Keep beneficial ownership access distinct

Bolagsverket also operates beneficial ownership-related services. Their coverage, access conditions and released fields must be checked through the current official process for your requester category and purpose. A public identity search does not establish an unrestricted right to every beneficial owner field.

Compare lawfully accessible registered information with company-held ownership documents and declarations. Show which links are independently corroborated and which rely on information from the company. An unavailable or restricted source should remain an explicit limitation in the conclusion.

Read annual accounts by period and assurance type

Limited companies have annual-account filing requirements with Bolagsverket, while requirements for other forms and circumstances can differ. Determine the entity's filing position and the period needed before interpreting a missing document.

For each filed set, match the organisation number and note the reporting period, filing date and retrieval time. Read the statements and any audit report actually included. A filing should not be described as audited simply because it was accepted by the register.

A recent download can concern an older year. Where credit exposure or an investment decision requires current financial information, request the additional evidence your policy needs. Annual accounts do not provide a guarantee of present liquidity or future performance.

Check tax and regulatory permissions separately

Skatteverket tax-registration information answers a separate question from incorporation. A company-registration match does not establish every tax status or obligation. Likewise, registered activities do not establish authorisation to provide a regulated financial or professional service.

Match any required permission with the legal entity and service proposed. Keep the regulator's source and the tax source separately labelled so the file makes clear which checks were actually completed.

Prepare the Swedish evidence request

Keep the Swedish originals, translations, identifiers, document descriptions, sources and dates together. Confirm any certification or authentication requirements with the intended recipient. Through the international company registry search, specify the organisation number, certificate or filings, accounts periods and any scoped ownership enquiry. Feasibility and access are confirmed for the request. Price and expected turnaround are confirmed when the order is accepted.
