A Thai affidavit establishes registered officers; the shareholder list has its own date.

Read the DBD affidavit for officers and signing rules. Use the shareholder list’s own date and the correct form for the company before drawing an ownership conclusion.

Thailand’s company affidavit and its filed shareholder list are separate documents with separate evidential uses.

The Department of Business Development (DBD) registers companies and holds filings such as shareholder lists and financial statements. Its DataWarehouse+ service offers public company and financial information. Certified records are requested through the DBD’s document services.

An initial lookup helps identify the company. A completed file should then show which record supports existence, representation, ownership and financial conclusions. Those questions can require a small document set rather than one generic company report.

Anchor the search to 13 digits

Ask for the Thai legal name and juristic person registration number (เลขทะเบียนนิติบุคคล). The number has 13 digits and is also used as the company’s taxpayer identifier. Preserve leading zeroes and compare the full number across the agreement, invoice and registry output.

Search DBD DataWarehouse+ by number where possible. Name searches can return similar Thai names, an English trading name or an affiliate. Establish the entity type and head office before selecting the document set.

The public result can show registration status, address, capital, change history and highlights from filed financial statements. It is a useful screening source. The company affidavit (หนังสือรับรอง) is the document to request for directors and the registered arrangement for binding the company.

Choose the record by question

DBD issues certified copies of registration documents and filings. Specify the document and, where relevant, the date or financial year. A request for the latest shareholder list should also ask for the list’s underlying date.

The memorandum of association, commonly identified as Bor Or Jor 2, records founding particulars. It is different from the shareholder list, commonly identified as Bor Or Jor 5 for a private limited company. Founders or promoters on an incorporation document need not be the present shareholders.

A public limited company follows a different document and disclosure framework. Identify the legal form before asking for a Bor Or Jor 5. A form appropriate for a private limited company should not be promised for every entity on the DBD database.

Check how the directors must sign

The affidavit records directors and the directors authorised to bind the company, including the relevant signing conditions. Read the wording against the proposed signatories. A condition requiring joint signatures or another specified arrangement must be considered in the authority review.

Compare the affidavit’s date and any relevant change entries with the contract date. For a historical transaction, obtain the registered position for that period. A director named in a recent document may not have held the same position when the earlier agreement was signed.

A delegated signatory may require an additional power or resolution from the company. Obtain the document, check its scope and connect it to the registered representatives. The affidavit alone does not establish every internal approval required for a transaction.

Treat the shareholder list as a dated filing

The filed list records registered holders and shares at its stated date. Capture that date separately from the date the certified copy was issued and the date your team retrieved it. A copy obtained today can contain an older list.

Compare shares held with the relevant capital and share information. If the company says a transfer occurred after the list’s date, request its updated shareholder register and transfer evidence. Describe the difference as an unresolved or reconciled timing issue rather than silently changing the registry figures.

Corporate holders need to be identified in their own jurisdictions. Continue the ownership chain towards natural persons, aggregate relevant interests and review voting or other control rights separately. Registered nationality and a direct holding do not, by themselves, settle beneficial ownership.

Nominee arrangements cannot be established simply by reading a shareholder list. For a foreign ownership or licensing review, examine the actual structure and any relevant foreign business permission. Incorporation and a particular nationality split do not establish that every proposed activity is permitted.

Read the financial statements themselves

DataWarehouse+ financial highlights help locate relevant years and identify follow-up questions. For a credit, acquisition or audit review, obtain the filed financial statements and auditor’s report rather than relying only on headline values.

Record the accounting period, filing date, auditor’s opinion and any qualifications or scope limitations. Compare the legal entity number with the affidavit. Consolidated group figures and the stand-alone company’s figures answer different questions, so label the basis used in your analysis.

A filing does not show financial performance after its reporting date. Ask for more recent management information if the transaction requires it, and label that information as company-supplied. Keep forecasts separate from historical filed figures.

Plan language and recipient requirements

Thai originals are the underlying records for most documents. DBD also offers an English Business Registration Certificate for affidavit particulars, subject to the service’s conditions. In particular, the relevant director or partner names must already be held in English through the company’s filings.

Confirm eligibility before promising the English certificate. It does not make the shareholder list, memorandum or financial statements available in English. Translation of those records is a separate requirement, and a receiving institution may have its own rules for certification.

Retain the original, any translation and the source details together. Identify whether an English text is DBD-issued, a translated document or an analyst’s summary. That distinction matters when another reviewer or an overseas authority assesses the evidence.

Order a coherent file

Send the Thai registered name, 13-digit number and Thailand as the jurisdiction to agent@fill-easy.com. Specify the affidavit, shareholder list, required accounting years, history period and any English certificate or translation requirement.

We return available CorpVerify records by email or API with source, retrieval time and request ID. Price and expected turnaround are confirmed when the order is accepted. An English certificate, historical records and company-held updates can require separate steps.
