Vietnam’s enterprise code anchors the search; shareholder evidence depends on the company form.

Use the enterprise code to match the legal entity and tax identity. Registration records reveal different ownership information for limited liability and joint stock companies.

Vietnam’s 10-digit enterprise code is also the enterprise’s tax code.

The National Business Registration Portal publishes information entered by provincial registration offices. Its basic search supplies identity and status particulars, while the information service provides available registration documents and other filed information.

Start with the enterprise code and legal form. The documents and ownership fields relevant to a limited liability company differ from those of a joint stock company. A single search result should not be treated as a complete board, shareholder or beneficial-owner register.

Match the enterprise code first

Ask for the exact Vietnamese registered name and enterprise code (Mã số doanh nghiệp). Search the full 10 digits and compare name, head office, entity type and legal representative with the contract and invoice. Preserve Vietnamese spelling and diacritics in the review file.

Dependent units such as branches can carry 13-digit codes related to the parent’s number. Confirm whether the agreement is with the enterprise itself or a dependent unit acting for it. A branch certificate should not silently replace the parent enterprise’s registration evidence.

The portal can show free basic particulars, including the establishment date, status and business lines. Use those fields to establish a candidate match. Similar names, English trading names and abbreviated names require resolution against the enterprise code before you order detailed information.

If an address or name differs from the counterparty’s documents, request the relevant change record and explanation. Keep both versions with their dates. A mismatch can arise from a genuine change, but it still needs evidence before the review is complete.

Choose the registration information you need

The portal’s information service can supply an Enterprise Registration Certificate, documents from the registration file, available financial statements and a consolidated enterprise report. Request a defined document and period rather than an unspecified full report.

The company charter (Điều lệ công ty) can clarify capital, governance and the powers of the legal representative. Obtain the relevant filed version and amendments where these points matter. An old charter should not be used to infer present representation without checking later changes.

A consolidated enterprise report can help reconstruct registered changes over its available period. Confirm the coverage before requesting a long history. A report covering a limited interval does not establish every change since incorporation.

The certificate and basic search identify the legal representative or representatives. They do not provide a complete list of every director or manager. A general director who is not a legal representative may require company-supplied appointment and authority evidence.

Compare the registered representative’s name and relevant appointment date with the person signing the agreement. Where authority comes through a delegation, request the delegation and identify its scope. With multiple legal representatives, review the charter and supporting documents for the transaction’s authority arrangements.

An officer’s title on a business card is insufficient to resolve these questions. Keep the registration record and company-held resolution or power together so another reviewer can follow the authority conclusion.

For a limited liability company, member and contribution information can appear in the relevant certificate and registration file. Establish whether the company has one or several members and use the records appropriate to that form. Corporate members need their own jurisdiction and registration match.

For a joint stock company, the public registration file can identify founding shareholders and foreign-investor shareholders. It does not provide a complete current list of all domestic shareholders after subsequent transfers. Founding ownership is therefore different from present ownership.

Request the company’s shareholder register and supporting transfer records when a complete current direct-owner position is required. Match the register date, share classes and total capital to the relevant registration documents. Describe unexplained differences as outstanding evidence gaps.

Continue corporate ownership chains towards natural persons, aggregate holdings across relevant paths and consider control rights separately. A public shareholder list can be useful evidence while still leaving nominee, voting or indirect control questions unresolved.

Beneficial ownership declarations are restricted

Vietnam’s amended enterprise framework and Decree 168/2025/ND-CP introduced beneficial ownership declarations to the business registration authority. The declaration regime includes ownership and control concepts, but the information held for competent authorities is not an ordinary public company-search output.

Do not promise a named beneficial-owner list merely because the company is registered or a declaration obligation exists. Establish the available access route and obtain lawful company-supplied declarations and supporting ownership records where needed.

Keep the declaration date and evidence basis in the file. A company’s assertion about a beneficial owner needs to be reconciled with member or shareholder evidence and relevant control documents. Restricted public access is a limitation to record, rather than a finding that nobody qualifies.

Investment and business permissions need separate review

A foreign-invested enterprise may also have an Investment Registration Certificate from the relevant investment authority. It is separate from the Enterprise Registration Certificate. Request it specifically when the proposed relationship depends on the investment position.

Registered business lines describe declared activities. They do not establish that all sector-specific permissions and conditions have been met. Check the relevant licences for the actual activity, company and location, and keep those findings separate from incorporation.

Available financial statements have their own accounting period and filing date. Confirm whether a statement was filed and what assurance accompanies it. A registration search cannot establish current trading performance or solvency.

Keep Vietnamese originals and dates

The portal has search interfaces that can help non-Vietnamese readers, but the underlying certificates and file documents are in Vietnamese. Retain the originals alongside translations or English summaries and label the status of the translated text.

Record the certificate issue date, underlying change or reporting date, and retrieval date separately. A recent download can show earlier filed information. If a counterparty supplies a newer change document, reconcile it with the retrieved record and record what remains unconfirmed.

Order the defined records

Send the Vietnamese legal name, enterprise code, Vietnam as the jurisdiction and required document set to agent@fill-easy.com. Identify entity form, member or shareholder records, charter, historical period and any investment certificate or translation requirement.

We return available CorpVerify records by email or API with source, retrieval time and request ID. Price and expected turnaround are confirmed when the order is accepted. Restricted ownership information and company-held registers may require separate cooperation.
