Mauritius company disclosures depend on domestic or Global Business status.

The CBRD public file is broader for domestic companies. Global Business and Authorised Company records require a different evidence plan.

A Mauritius domestic company and a private Global Business company disclose different public records. The Corporate and Business Registration Department's customer charter describes broader public information for domestic companies and limits for private Global Business and Authorised Companies.

The Corporate and Business Registration Department (CBRD) handles incorporation and company records. The Financial Services Commission (FSC) handles the relevant licensing framework. Your review should identify the company first and then establish which regulatory category and disclosure rules apply.

Anchor the search to the registered entity

Use the CBRD online search with the exact name and registration identifier available from the incorporation documents. Retain the Business Registration Number (BRN) alongside the name. The BRN also appears in other Mauritius official records and can help reconcile company and tax information.

Compare the office, incorporation date, legal form and previous names where shown. A trading name or group description can cover several different legal entities. Verify which one signs the contract, receives funds or holds the asset under review.

Do not use the word offshore as the sole classification. Establish whether the record concerns a domestic company, a private company with a Global Business Licence, an Authorised Company or another legal form. That classification determines which public records can reasonably be expected.

Read the public extract before requesting copies

The CBRD provides an online search and company-file extract. Capture the retrieved result, source and retrieval date. Use it to confirm identity and decide which underlying documents are necessary.

For a domestic company, the CBRD describes public access to incorporation information, shareholder and director lists, constitutions and filed financial statements. Actual availability depends on the record and documents held. Order a specific filing where its contents or reporting date matter to your decision.

  • Incorporation evidence: establish the legal person and its original registration particulars.
  • Officials and members: identify the persons recorded and the date represented by the information.
  • Constitution: obtain the adopted constitution and relevant amendments where governance or rights are material.
  • Returns and accounts: identify the filing period and any later changes that require separate evidence.

The absence of a document from an online result needs investigation before it is labelled a filing breach. Check whether the company was required to file it, whether it is held through another access route and whether the public extract omits it.

Plan separately for Global Business records

For private Global Business and Authorised Companies, the CBRD customer charter limits public information to the name, registered office and management company or registered agent. A limited public result is therefore different from an incomplete domestic-company search.

Directors, shareholders and financial statements may need to come from the company or its management company with appropriate authority. Ask at the start who can authorise release and which records the custodian can provide. A public registry order alone does not create that authority.

Describe each supplied record by issuer and capacity. A management-company confirmation, company register and Registrar-issued certificate have different provenance even when they refer to the same entity. Keep the original documents rather than merging their contents into an unattributed report.

Confirm licensing separately from incorporation

The FSC's Global Business guidance explains the licensing framework and the role of licensed management companies. Incorporation evidence from the CBRD does not by itself prove that a regulated activity is permitted or that a specific licence is current.

If the transaction depends on licensing, identify the licence category and the activity being undertaken. Obtain the relevant FSC evidence through the appropriate route and compare the licensed entity's name and identifier with the company record.

A licensed management company can administer several clients. Its own regulatory position does not automatically establish the permissions, financial position or business activity of each company it administers. Keep the two entities and their roles clear.

Build ownership from dated source records

A shareholder list identifies registered holders. A corporate holder or nominee may require additional documents to establish the underlying natural persons and the relevant control arrangements. Ask for share classes and rights where simple share counts do not explain economic or voting interests.

Trace relevant corporate branches and aggregate a person's interests across more than one route. Consider agreements, voting arrangements and other control evidence separately from percentages. Apply the ownership and control tests relevant to your review rather than assuming that a registry list is already a UBO conclusion.

The CBRD describes a Central Beneficial Ownership Register for competent authorities and law enforcement. It does not provide a general public ownership search. An ordinary company extract should therefore never be labelled a central beneficial ownership report.

Where central-register access is unavailable, document the company-held evidence, its source and remaining limitations. An access restriction is an evidence limit; it does not establish that the company has no beneficial owners.

Read financial statements at the right level

For domestic companies, request the actual filed financial statements where available and relevant. Record the reporting period, whether the statements cover the company or a group, and whether an auditor's opinion accompanies them.

For Global Business or Authorised Companies, request the appropriate financial evidence from the company or management company under an authorised arrangement. Do not interpret a restricted public file as evidence of an absence of accounts or of financial distress.

An older statement may establish a historical position while leaving current liquidity unresolved. If the transaction depends on recent financial capacity, request additional evidence appropriate to that question. A current-standing certificate cannot substitute for the financial assessment.

Select certificates and copy formats

A certificate of current standing supplies the Registrar's statement within its scope at its issue date. An incorporation certificate and certified constitution answer different questions. Specify each required document rather than asking only for a certificate pack.

Confirm whether the receiving institution needs ordinary copies, certified copies or another authentication process. Certification confirms the copy or issuer's formal act; it does not independently validate every shareholder statement or transaction reported by the company.

Keep reporting dates, issue dates and retrieval dates visible in the evidence index. Explain changes made after the latest return and request supporting records where those changes affect ownership, authority or your approval decision.

Place a scoped order

Send the exact Mauritius name, BRN and known company category through our mailbox. Specify the CBRD extract, selected filings, certificates and any FSC evidence required. For non-public company records, identify the authorised company or management-company contact.

Price and expected turnaround are confirmed when the order is accepted. CorpVerify can support sourcing within the applicable access arrangements, while your review records the gaps and the evidence needed to close them.
