A Polish KRS number and a tax NIP identify different records.

A Polish business can be a company or an individual entrepreneur. Choose the correct register and keep the corporate, tax and statistical identifiers separate.

Poland's KRS number and NIP serve different purposes. The KRS identifies an entry in the National Court Register; the NIP is a tax identifier. Both have ten digits, so a length check alone cannot tell your analyst which record to search.

The Ministry of Justice provides the KRS search service. CEIDG is the separate register for individual entrepreneurs. The contracting person's legal form determines which workflow applies before you order an extract or ask for shareholders.

Ask for the full legal name, legal form, registered office and KRS number where applicable. Keep the NIP and REGON statistical reference as separately labelled fields. Preserve leading zeroes instead of storing identifiers in a numeric format that can shorten them.

The business name on a website or invoice may include a trading style. Identify the entity entering the agreement and the account holder receiving payment. A supplier using an individual's name may be an individual entrepreneur rather than a capital company with shareholders and directors.

Where the counterparty is an individual entrepreneur, use CEIDG and record the relevant business particulars. A negative KRS search does not establish that such a business is unregistered. Conversely, a CEIDG name match should not be substituted for the KRS record of a separate company owned by that person.

Search the official KRS service by the number when it is available. For a name search, compare the legal form, seat, address and other identifying particulars before choosing a result. Similar names can belong to unrelated entities or several companies in one group.

KRS covers legal entities with different purposes and structures. The relevant record may concern a commercial company or another registered legal person. Read the form and register section rather than assuming every result is a trading company with the same disclosure obligations.

Keep the Polish legal name and any English rendering together. An abbreviation for the legal form should remain connected to the original wording. This helps the next reviewer distinguish a translated label from a change to the company's identity.

Choose current or full register information

A current KRS record describes the presently registered entries. Full register information adds the historical entries within that product's scope. The right choice depends on whether you are verifying today's registered position or reconstructing a previous event.

  • Current identity: match the legal name, office, form and number against the proposed agreement.
  • Former names or officers: use the full information and relevant documents to establish the sequence.
  • Signing authority: read the representation entry and the authority attached to the proposed signatory.
  • Financial evidence: obtain the relevant filed documents for the specified reporting period.

Keep the retrieval date separate from the dates of entries and the underlying events. A fresh extract can confirm what is registered at retrieval while a historical document describes an earlier position. Do not use those dates interchangeably in the review note.

Read how the company is represented

The representation wording can determine whether a management-board member can act alone or jointly with another person. Read the actual combination required. A person's name appearing in the management section is not enough to conclude that one signature meets the company's registered rule.

Registered commercial proxy arrangements, including prokura, should also be read in their stated form. Preserve joint or individual conditions and check them against the instruction. If the signatory is an employee acting under a mandate, obtain that mandate and verify the grantor's authority.

Separate the business contact, registered management, signatory and owners in your file. One person can hold several roles, but each conclusion should have the evidence that establishes that particular role. An ownership declaration does not replace a signing-authority check.

Use shareholder fields within their scope

KRS shareholder disclosure depends on the legal form and the entries required for that form. A list of shareholders shown in an extract should not automatically be treated as a complete register of every beneficial interest. Check the scope before turning the visible names into an ownership percentage table.

Request the company's current ownership evidence where the public record leaves a gap. Capture share classes, voting rights, the date of the record and any nominee or control arrangements relevant to your review. Explain any difference between the client's chart and the available official information.

When a holder is another company, identify that entity in its own register and continue the chain. Aggregate relevant interests held through different paths by the same natural person. Assess control arrangements alongside share percentages when applying the due-diligence criteria relevant to your organisation.

Keep beneficial ownership as a separate enquiry

The Ministry of Finance's Central Register of Beneficial Owners, or CRBR, is a separate system. Its coverage, current access arrangements and available fields should be checked for the particular entity and requester. A KRS extract should not be described as a CRBR beneficial ownership result.

Compare accessible beneficial ownership information with the ownership documents and declarations. Record where each item came from and the date it describes. If a restricted or unavailable source prevents independent corroboration, retain that limitation rather than presenting an unverified owner as confirmed.

Review financial documents by period

The official financial-document repository provides filings for covered entities. Determine whether the legal form and circumstances create the relevant filing obligation before assuming that every business must have a public set of accounts.

For each financial document, record the reporting period, filing date and retrieval time. Read the included statements and any auditor's report in their actual scope. A recently retrieved filing can describe an older balance sheet and should not be presented as proof of current liquidity.

Registration, tax status and sector licensing answer different questions. Use the relevant tax or regulatory source when those matters affect the transaction. A registered corporate purpose does not establish permission to conduct every regulated service the company advertises.

Request a reproducible Polish file

Keep the KRS or CEIDG match, identifiers, source records, selected documents and your interpretation together. Confirm any certification, translation or authentication requirement with the receiving party before ordering a formal document.

Through the international company registry search, specify the legal form, KRS number or CEIDG particulars, current or historical scope, accounts periods and authority evidence required. Feasibility and access are confirmed for the request. Price and expected turnaround are confirmed when the order is accepted.
