A Hong Kong lender's company registration does not establish that it may carry on a money-lending business. The licence needs to match the lender, cover the relevant period and be understood alongside its conditions. This matters when onboarding a lender, taking out a loan or assessing an existing agreement.
The licence and the company are separate checks
The Money Lenders Ordinance (Cap. 163) governs money-lending businesses, subject to its applicable exemptions. The licensing court decides applications. The Registrar of Money Lenders, a role performed by the Registrar of Companies, processes applications and maintains the register, while the Police examines applications and enforces the Ordinance.
The Companies Registry publishes dated licensee lists and provides a Register of Money Lenders search. Matching the lender's English and Chinese names and licence details to its company record helps distinguish the legal lender from a trading name or intermediary. The list's effective date also matters: a saved copy may no longer establish the position at the transaction date.
Evidence to compare
| Evidence | What it establishes | What needs separate attention |
|---|---|---|
| Existing-licensee list or register result | Named licensee and recorded licence details | Effective date, expiry and relevant updates |
| Renewal or application information | The recorded application position | An application alone is not a new licence |
| Licence and applicable conditions | Permissions and conditions imposed | Which conditions apply to this licence and transaction |
| Company Particulars and authority documents | Legal entity and authorised representatives | Differences from the lender named in the agreement |
| Loan agreement and intermediary details | Terms, parties and arrangements | Effective interest, fees and the intermediary's role |
The Registry uses an R remark for a renewal application in progress. That calls for checking the applicable renewal position; it should not be treated as interchangeable with a newly granted licence. For an older loan, the evidence needs to address the agreement date, not just today's list.
What the conditions add
A licence is generally granted for a 12-month period and carries conditions imposed by the licensing court. The Registrar's licensing-condition guidance addresses borrower due diligence, third-party involvement, explanation of repayment terms and other requirements. Where an intermediary is involved, its appointment and any fee arrangements need to be understood against those conditions.
AML/CFT requirements are also part of the licensing framework. A bank onboarding a lender may therefore need evidence of the lender's own procedures as well as its licence. The lender's customer due diligence obligations and the bank's assessment of the lender are separate processes, even where both involve ownership, authorised representatives and funding information.
Interest and commercial risk remain relevant
The statutory annual interest cap was reduced to 48%, and the threshold relevant to extortionate transactions to 36%, from 30 December 2022. The effective rate and agreement terms need assessment under the applicable provisions. A listed licence does not establish that every proposed agreement complies with them or that the borrower can afford the repayments.
A current licence also says little about the lender's solvency, litigation exposure or the legitimacy of particular funding. Those questions require evidence directed at them. Keeping them distinct prevents a satisfactory licence check from becoming an unsupported conclusion about the whole relationship.
How the Fill Easy email bot helps
An approved organisational sender can email agent@fill-easy.com with the lender's legal name, known licence details, company identifier, relevant date and case reference. Request the Money Lenders Register search and company records needed for comparison.
The agent confirms availability, access requirements, price and expected turnaround at acceptance, clarifies uncertain matches, and returns retrieved PDFs in the same thread. Each result carries its source, retrieval time and request ID. An optional summary references the underlying records, while the reviewer assesses the licence conditions and transaction separately.
