The legal representative (法定代表人) is an important person in a Mainland company record, but the name does not answer every authority or ownership question. An onboarding team should establish the person’s current registered role, understand who will actually act for the company and assess ownership separately. This avoids treating the most visible individual as the owner or the only possible signer.
What the role means
Articles 10 and 11 of the Company Law revised in 2023 describe the legal representative as a director or manager who executes company affairs under the articles of association. Civil acts carried out in the company’s name have consequences for the company, and internal limits on powers cannot simply be asserted against a counterparty acting in good faith.
That framework does not make a name match a complete authority assessment for every transaction. The reviewer still needs to establish the company, the person’s role and the context of the instruction. Where another director, employee or agent acts instead, a suitable resolution, delegation or mandate explains the basis and scope of their authority.
Which records answer which questions
| Evidence | Question it helps answer | Remaining assessment |
|---|---|---|
| Business licence | Who was named on that issued copy? | Compare with current registration information |
| Current registry record | Who is recorded as legal representative? | Reconcile a reported recent appointment or resignation |
| Constitution and appointment evidence | How does the governance framework assign the role? | Check relevant changes and transaction conditions |
| Resolution or mandate | Who is authorised for the proposed instruction? | Match the person, entity, scope and dates |
| Ownership and control evidence | Who ultimately owns or controls the company? | Apply the reviewer’s relevant criteria |
Why a change deserves an explanation
A new representative can be a routine management change. Its significance depends on the surrounding evidence. A change close to a large transaction, ownership transfer or dispute may require clarification because the reviewer needs to know who now directs the business and whether the proposed mandate reflects that position.
Compare the customer’s explanation with the registry and appointment documents, preserving the effective and recorded dates. An older licence may remain in a file after the role changes. Replacing its name without retaining the change evidence would leave the reviewer unable to explain why the current signer was accepted.
Ownership and personal risk are separate enquiries
A legal representative may also be a shareholder, but the role does not establish that interest. Mainland beneficial-owner filing rules address ultimate ownership and control using separate criteria, with access arrangements distinct from ordinary public company information. The ownership chart, current holder records and permitted supporting sources therefore need their own assessment.
Court consumption restrictions against a company can also affect its legal representative and other relevant persons under the applicable provisions. A company record naming the representative helps identify the individual concerned, but the court order establishes the restriction and its scope. Read a genuine match alongside the court-record guide, rather than infer personal dishonesty from the role alone. The China onboarding guide explains how authority and ownership fit together.
Requesting the evidence by email
An approved organisational sender can email agent@fill-easy.com with the Chinese legal name, Unified Social Credit Code, requested evidence and case reference. For example:
Please obtain current registry and available representative-change evidence for [Chinese name], [credit code]. Reference: [case]. Identify the registered representative and relevant dates in a referenced summary. Please flag differences from the supplied licence or mandate.
The agent clarifies ambiguous matches or unavailable items and confirms access, availability, price and turnaround at acceptance. PDFs arrive in the same thread with source, retrieval time and request ID; an optional summary cites the records. The reviewer assesses the evidence and decides.
